The transactions concerned are the following: - the selling, in April 1987, by the Hanseatische Industrie Beteiligungsgesellschaft (HIBEG), a public company owned by the Land Bremen and the municipalities of Bremen and Bremerhaven, of 600,750 shares in Seebeckwerft to the Bremer Vulkan yard for the symbolic price of DM 1; - the provision of a guarantee by HIBEG, in connection with a share issue by Bremer Vulkan decided in June 1987, to purchase any of the 1,480,000 shares which could not be sold on the Stock Exchange at an issue price of DM 90/share, and the consequent takeover in September 1987 of 96.1% of the unsold shares at this price; - the purchase by HIBAG in 1988 of shares in 25 ships from Bremer Vulkan and in 10 ships from Seebeckwerft at book value; - the provision of DM 128.2m of guarantees from the Land Bremen for the carrying out of the restructuring plan of the Bremer Werftenverbund.

The Commission points out in its decision that proceedings are still under way in respect of the general problem of approved aid intended solely for the East German shipyards previously controlled by the now-bankrupt Bremer Vulkan group being illegally diverted - perhaps to western German companies belonging to the same group.
