The European Union has adopted a broad raft of legislation, applicable in all Member States, in order to ensure that the legal framework exists to deal with the inevitable result of our modern life-style, in terms of all the things we discard as waste, from our household, from our place of work, from our hospitals, from our industries and so on. It is obvious to all that failure to manage such issues, and failure to prioritise efforts in this respect, produces not only negative effects on human health and well-being, but also on the viability of the planet and its environment in the broadest sense.

The necessary arrangements concerning the accommodation to be provided for the Agency in the host Member State and the facilities to be made available by that State, as well as the specific rules applicable in the Agency's host Member State to the Executive Director, the members of the Management Board, staff of the Agency and members of their families shall be laid down in a Headquarters Agreement between the Agency and the host Member State concluded after obtaining the approval of the Management Board. The Agency's host Member State should provide the best possible conditions to ensure proper functioning of the Agency, including multilingual, European-oriented schooling and appropriate transport connections.

Delegated acts should also be adopted to specify the criteria to be used by competent authorities to assess whether AIFMs comply with their obligations as regards their conduct of business, their obligation to act in the best interests of the AIFs or the investors of the AIFs they manage and the integrity of the market; to have and employ effectively the resources and procedures that are necessary for the proper performance of their business activities; to take all reasonable steps to avoid conflicts of interest and, where such conflicts cannot be avoided, to identify, manage and monitor, and where applicable, disclose, those conflicts of interest in order to prevent them from adversely affecting the interests of the AIFs and their investors and to ensure that the AIFs they manage are fairly treated; to comply with all regulatory requirements applicable to the conduct of their business activities so as to promote the best interests of the AIFs or the investors of the AIFs they manage and the integrity of the market; and to treat all AIF investors fairly.

Even though the principles laid down in this Directive have general relevance for all management companies, they are flexible enough to ensure that their application and the supervision of such application by competent authorities is proportionate and takes into account the nature, scale and complexity of a management company’s business and the diversity of the companies falling within the scope of application of Directive 2009/65/EC, and the varied nature of the different UCITS that may be managed by a management company.

Based on the attestation referred to in Articles 16 and 17, the competent authorities of the UCITS home Member State may request from the competent authorities of the management company’s home Member State clarification and information regarding the documentation referred to in paragraph 1 and on whether the type of fund for which authorisation is requested falls within the scope of the management company’s authorisation.
