The High Level Group made several other recommendations designed to enhance directors responsibilities : a) introduction of a special investigation right, whereby shareholders holding a certain percentage of the share capital should have the right to ask a court or administrative authority to authorise a special investigation into the affairs of the company; b) development of a wrongful trading rule, whereby directors would be held personally accountable for the consequences of the company's failure, if it is foreseeable that the company cannot continue to pay its debts and they don't decide either to rescue the company and ensure payment or to put it into liquidation; c) imposition of directors' disqualification across the EU as a sanction for misleading financial and non-financial statements and other forms of misconduct by directors.

– (DA) Mr President, what would happen if a small Danish limited company with 100 employees were to draw up annual accounts about which a chartered accountant made a declaration emphasising that most of the reservations were due to the fact that they recurred from year to year; and if it were confirmed that the weaknesses were to a large extent due to the failure of the company’s accounting system to provide adequate assurance that its balance sheet was complete and included all the elements of the company’s activities; and if, in addition, the declaration stated that there were problems with the monitoring and security systems, and that the data in the system were not complete; and it continued by saying that it was a matter of concern that the company did not give a high enough priority to remedying these defects, and that it had not given sufficient consideration to the area or allocated enough resources to finding a solution to the problems within a reasonable time frame? What would happen if it was ultimately concluded that no declaration could be made as to whether the construction work, purchases or services forming the basis of the payments to the local recipients, actually took place? If all this happened, the board of directors would, firstly, refuse to give discharge to the management.

(19) The place at which a service provider is established should be determined in conformity with the case-law of the Court of Justice according to which the concept of establishment involves the actual pursuit of an economic activity through a fixed establishment for an indefinite period; this requirement is also fulfilled where a company is constituted for a given period; the place of establishment of a company providing services via an Internet website is not the place at which the technology supporting its website is located or the place at which its website is accessible but the place where it pursues its economic activity; in cases where a provider has several places of establishment it is important to determine from which place of establishment the service concerned is provided; in cases where it is difficult to determine from which of several places of establishment a given service is provided, this is the place where the provider has the centre of his activities relating to this particular service.
