Points out that the rules governing corporate governance are generally designed to maintain a duality of power within the collegiate decision-making body by distinguishing between management and supervisory functions so as to limit conflicts of interest but stresses that non-executive structures may, besides their monitoring task, also have vital advisory, mediating and networking functions, and a particular role in linking up with societal demands and general interest. These rules are also designed to strengthen the role and rights of shareholders, in particular through better information and financial transparency. However, the recent financial scandals and the way they have affected the system as a whole offer grounds for a broader approach to matters of corporate governance; requests therefore that, in addition to the interests of institutional or individual shareholders, which are dealt with in depth in the communication, the Commission should take explicit account of the interests of all other stakeholders (employees, creditors, clients, suppliers, etc.) in the various proposals it will be submitting as part of its action plan, giving particular weight to the principle of corporate social and environmental responsibility; emphasises that decent structures and practices of information and consultation of workers form an indispensable part of European corporate governance and is of the opinion that all European company law directives should contain obligations for information and consultation of employee representatives where major decisions are at stake for the continuity of firms and jobs.

IV. CALLS UPON THE MEMBER STATES AND THE COMMISSION to examine, in mutual consultation, to what extent the legal provisions of the Member States and of the Community could place a specific extra burden on small and medium-sized enterprises, by - pinpointing existing legal provisions hindering the creation, growth and transfer of businesses, - analysing the problem of excessive additional burdens caused by differences of approach between the legal systems of the Member States and the Community, - taking stock of the situation regarding the various burdens placed in particular on SMEs developing transfrontier activities, - examining the possibilities for cooperation between SMEs (for example cooperation in networks for joint purchases and sales) in the framework of Community competition law, - examining the possibility of establishing national contact points to help enterprises, in particular SMEs, to deal with possible intra- Community trade barriers.

This right would make it possible for a manufacturer to prevent the non-authorized extraction and/or the re-utilization of the whole or a substantial part of the contents of a database - without prejudice, however, to application of the rules of competition (especially as regards the abuse of dominant positions and abusive practices. The protection granted by this right would apply for fifteen years after the completion of a database. The Member States would have the option of providing for certain exceptions to the sui generis right, in particular as regards extractions for private purposes or illustration in teaching. Under the common position, the sui generis right could be extended to databases manufactured in third countries, on the basis of reciprocal agreements. The Member States should transpose the Directive into their national legislation before 1 January 1998. CONVENTION ON INSOLVENCY PROCEEDINGS The Council - noted the agreement of fourteen delegations on the current draft text of the Convention; - instructed the Permanent Representatives Committee to continue its proceedings and seek bases for rapprochement such that unanimous agreement could be reached and to prepare the explanatory report awaited for final approval by the Council. The draft Convention is based on the principle of attenuated universality, i.e. on an approach based on main insolvency proceedings opened in the Contracting State in which a debtor has the centre of his main interests and the possibility of opening secondary or territorial proceedings wherever he is established. The main proceedings would produce effects in all the Contracting States and the territorial and secondary proceedings would produce effects restricted to the territory of the Contracting State where they were opened. This approach represents a compromise which endeavours to take into account the various legal traditions in the Member States.
