TRADUCTIONS EN CONTEXTE

Under the Directive supplementing the Statute for a European Company with regard to the involvement of employees, the threshold for applying the benchmark provisions laid down for the European Company is increased to 33 1/3 % of the total number of workers in the merging companies that have had to operate under any form of worker participation system.
In het kader van de richtlijn tot aanvulling van het statuut van de Europese vennootschap met betrekking tot de rol van de werknemers wordt het percentage voor de toepassing van de voor de Europese vennootschap vastgestelde referentievoorschriften opgetrokken tot 33 1/3 % van het totale aantal werknemers in alle fuserende vennootschappen waarin een of andere vorm van werknemersmedezeggenschap bestond.

9. Notes that the coordinated package foresees "Participation incentive", which amounts to 400 euro per worker (lump sum) to encourage participation in the measures; notes that this financial incentive will be accompanied by financial aid (ranging from 50 to 300 euro) covering partly the commuting expenses incurred by the workers participating in the measures;

Points out that several Member States have not transposed articles of the directive concerning employees' rights, including the gender specific provisions, and that this has led to a number of gaps regarding the monitoring and the implementation of worker participation procedures and stresses the need to remedy this so as to prevent abuse of SCE arrangements; views with regret the fact that the standard rules on the participation of workers in administrative bodies do not make worker participation a requirement;

[7] This trend is not without exceptions, notably in Slovenia (0), Hungary (3), Finland (0), Denmark (2) and Sweden (9) very few SEs were registered as of 25 June 2010, if any, although these countries have relatively extensive rules on worker participation, whereas there were several more SEs registered in the United Kingdom (23) and France (19) although these two countries have no or limited rules on worker participation.

[5] Trade unions report that in Germany the SE has in a few cases been created to maintain the same level of worker participation in the supervisory board, even though the threshold for a national company (either 500 or 2,000 employees) would require a change in the board's worker representation.

Asks the Member States to consider minimum standard rules on employees’ participation rights and gender equality programmes which must accompany the European private company statute; to ensure that workers’ participation rights are respected, proposes that the most appropriate approach would be, as in the case of the European Company and the European Co-operative Society, to complement the European private company statute with a separate directive on workers’ participation rights;

reinforce the right to information, consultation and participation of workers, primarily through the application of the future directive on the minimum rules for information and consultation of workers and of a legislative arrangement for worker participation in the framework of the European company statute, as well as by revising Directive 94/45/EEC on the establishment of a European Works Council or a procedure in Community-scale undertakings and Community-scale groups of undertakings for the purposes of informing and consulting employees ;
