Following an investigation that began in connection with the Verlipack case, the European Commission has found that support amounting to some €2.8 million given by the Walloon authorities to the Beaulieu group, a Belgian firm located in Flanders and one of the main European carpet manufacturers, constitutes aid which is incompatible with the common market and has to be repaid.
Au terme d'une enquête qui a débuté dans le cadre de l'affaire Verlipack, la Commission européenne a conclu que l'intervention des autorités wallonnes vis-à-vis du groupe Beaulieu, entreprise belge établie en Flandre et un des principaux fabricants européens de tapis, pour un montant d'environ 2,8 millions € est une aide incompatible avec le marché commun qui doit être remboursée.

At the end of this operation, the shares held by the Walloon Region in SA Verlipack Ghlin and SA Verlipack Jumet were bought by the Beaulieu Group(7). The latter and the Heye-Glas Group set up an umbrella holding, Verlipack Holding I, controlled by the latter subject to a majority vote.

(37) In its letter of 5 July 2000, the Commission requested information on the following aspects: the activities of Worldwide Investors; the steps taken by Sowagep to find a private investor; the use made of the BEF 100 million subscribed by Worldwide Investors in June 1998; an explanation of the difference in the value of the 14214 shares acquired by the Beaulieu Group in 1996; an explanation of the Heye Group's ignorance of these transactions involving intervention by the Walloon authorities; an explanation of the four-year grace period granted by the Walloon Region to the Beaulieu Group for payment for the 14214 shares and of the circumstances which, several weeks before Verlipack filed for bankruptcy and therefore at a time when it was fully aware of the fact that Verlipack was making losses, prompted the Walloon Region to accept early repayment of this debt.
(37) Dans sa lettre du 5 juillet 2000, la Commission demandait notamment des informations sur les aspects suivants: activités de Worldwide Investors, activités de recherche d'un investisseur privé par la Sowagep, utilisation des 100 millions de BEF souscrits par Worldwide Investors en juin 1998, une explication sur la différence en valeur des 14214 actions acquises par le groupe Beaulieu en 1996, une explication sur l'ignorance par le groupe allemand Heye de ces transactions comportant l'intervention des autorités wallonnes, une explication sur l'échéance de quatre ans sans intérêts accordée par la Région wallonne au groupe Beaulieu pour le paiement des 14214 actions ainsi que sur les circonstances qui, à quelques semaines du dépôt du bilan des sites de Verlipack et donc en parfaite connaissance de la situation déficitaire de Verlipack, ont amené la Région wallonne à accepter le remboursement anticipatif de cette dette.

(50) Consequently, the Walloon region and the Beaulieu Group jointly decided to amend the terms of the agreement under which the Beaulieu Group had purchased the shares held by the Walloon Region in Verlipack Ghlin and Verlipack Jumet in 1996.

From the information supplied the Commission learnt that in December 1998 the Beaulieu group had settled a debt of BEF 113 712 000 owed to the Walloon Region by transferring 9 704 shares in Holding Verlipack II, the nominal value of which was BEF 100 000 000, but the real value of which must have been significantly lower, given the assets position of the company at the time.
Sur base de ces informations, la Commission a constaté que le groupe Beaulieu a soldé en décembre 1998 une dette de BEF 113.712.000 vis-à-vis de la Région wallonne par la dation en paiement de 9.704 actions du Holding Verlipack II dont la valeur nominale était de BEF 100 millions, mais dont la valeur réelle devait être considérablement inférieure, compte tenu de la situation patrimoniale de ladite société au moment de la transaction.

In the course of its enquiries in the Verlipack case the Commission became aware of possible state aid to the Beaulieu group.
