On 12 December 2012, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Vitronet Holding GmbH from Germany, jointly controlled by RWE Deutschland AG from Germany and Aesop Sàrl from Luxembourg, acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of Infinity GmbH from Germany, by way of purchase of shares.

The Commission is concerned that the following provisions of the VW-law (Gesetz über die Überführung der Anteilsrechte an der Volkswagenwerk Gesellschaft mit beschränkter Haftung in private Hand, i.e. Act on the transfer of shares in Volkswagenwerk GmbH to private partnership, in its version of 31.07.1970) may dissuade investors in other Member States from the acquisition of shares and capital investments in Volkswagen AG and are, as a result, liable to hinder the exercise of the free movement of capital and the freedom of establishment guaranteed by the EC Treaty:
La Commission craint que certaines dispositions de la loi VW (Gesetz über die Überführung der Anteilsrechte an der Volkswagenwerk Gesellschaft mit beschränkter Haftung in private Hand - loi relative au transfert des actions de Volkswagenwerk GmbH à une société civile, dans sa version du 31.07.1970) n'aient un effet dissuasif sur les investisseurs d'autres États membres qui souhaiteraient acquérir des actions ou investir des capitaux dans Volkswagen AG et soient donc susceptibles d'entraver les libertés d'établissement et de circulation des capitaux garanties par le Traité CE.
