( 6 ) WHEREAS EXCLUSIVE DISTRIBUTION AGREEMENTS FACILITATE THE PROMOTION OF SALES OF A PRODUCT AND LEAD TO INTENSIVE MARKETING AND TO CONTINUITY OF SUPPLIES WHILE AT THE SAME TIME RATIONALIZING DISTRIBUTION ; WHEREAS THEY STIMULATE COMPETITION BETWEEN THE PRODUCTS OF DIFFERENT MANUFACTURERS ; WHEREAS THE APPOINTMENT OF AN EXCLUSIVE DISTRIBUTOR WHO WILL TAKE OVER SALES PROMOTION , CUSTOMER SERVICES AND CARRYING OF STOCKS IS OFTEN THE MOST EFFECTIVE WAY , AND SOMETIMES INDEED THE ONLY WAY , FOR THE MANUFACTURER TO ENTER A MARKET AND COMPETE WITH OTHER MANUFACTURERS ALREADY PRESENT ; WHEREAS THIS IS PARTICULARLY SO IN THE CASE OF SMALL AND MEDIUM-SIZED UNDERTAKINGS ; WHEREAS IT MUST BE LEFT TO THE CONTRACTING PARTIES TO DECIDE WHETHER AND TO WHAT EXTENT THEY CONSIDER IT DESIRABLE TO INCORPORATE IN THE AGREEMENTS TERMS PROVIDING FOR THE PROMOTION OF SALES ;
(6) considérant que les accords de distribution exclusive facilitent la promotion de la vente d'un produit et permettent d'agir d'une manière intensive sur le marché et d'assurer la continuité de l'approvisionnement, tout en rationalisant la distribution ; que de tels accords stimulent également la concurrence entre les produits de différents fabricants ; que, en outre, la désignation d'un concessionnaire exclusif se chargeant de la promotion de la vente, du service à la clientèle et du stockage, constitue pour le fabricant le moyen souvent le plus efficace, et parfois même le seul moyen, de pénétrer dans un marché et d'y affronter la concurrence d'autres fabricants ; que cela est particulièrement le cas pour les petites et moyennes entreprises ; qu'il y a lieu de laisser à l'appréciation des parties le point de savoir si elles estiment souhaitable de stipuler dans les accords des obligations destinées à promouvoir les ventes et, dans l'affirmative, la mesure dans laquelle elles désirent prévoir de telles stipulations;
