1. Member States shall allow an investment firm to appoint tied agents for the purposes of promoting the services of the investment firm, soliciting business or receiving orders from clients or potential clients and transmitting them, placing financial instruments and providing advice in respect of such financial instruments and services offered by that investment firm.

Les États membres autorisent une entreprise d’investissement à faire appel à des agents liés aux fins de promouvoir ses services, de démarcher des clients ou des clients potentiels, de recevoir les ordres de ceux-ci et de les transmettre, de placer des instruments financiers ainsi que de fournir des conseils sur de tels instruments financiers et les services qu’elle propose.

(54) In order to have an effective oversight and control over the activities of investment firms, regulated markets and data reporting services providers, the management body should be responsible and accountable for the overall strategy of the firm, taking into account the firm's business and risk profile.
(54) Pour assurer une surveillance et un contrôle efficaces des activités des entreprises d'investissement, des marchés réglementés et des prestataires de services de communication de données, l'organe de direction devrait être responsable et rendre compte de la stratégie globale de l'entreprise , eu égard aux activités et au profil de risque de celle-ci.

Applying this derogation shall not result in a reduction in the overall level of capital requirements for an investment firm, in comparison to the requirements as at 31 December 2006, unless such a reduction is prudentially justified by a reduction in the size of the investment firm's business.
