TRADUCTIONS EN CONTEXTE

In order to attain the objectives set out in this Directive, the power to adopt acts in accordance with Article 290 TFEU should be delegated to the Commission in respect of details concerning exemptions, the clarification of definitions, the criteria for the assessment of proposed acquisitions of an investment firm, the organisational requirements for investment firms, APAs and CTPs, the management of conflicts of interest, conduct of business obligations in the provision of investment services, the execution of orders on terms most favourable to the client, the handling of client orders, the transactions with eligible counterparties, the circumstances that trigger an information requirement for investment firms or market operators operating an MTF or an OTF and operators of a regulated market, the circumstances constituting significant damage to the investors’ interests and the orderly functioning of the market for the purposes of the suspension and removal of financial instruments from trading on an MTF, an OTF or a regulated market, the SME growth markets, the thresholds above which the position reporting obligations apply and the criteria under which the operations of a trading venue in a host Member State could be considered as of substantial importance for the functioning of the securities markets and the protection of the investors.
Afin d’atteindre les objectifs fixés dans la présente directive, il convient de déléguer à la Commission le pouvoir d’adopter des actes conformément à l’article 290 du traité sur le fonctionnement de l’Union européenne en ce qui concerne les modalités détaillées des exemptions, la clarification des définitions, les critères d’évaluation des acquisitions envisagées par une entreprise d’investissement, les exigences organisationnelles applicables aux entreprises d’investissement, les APA et les CTP, la gestion des conflits d’intérêts, les règles de conduite dans le cadre de la fourniture de services d’investissement, l’exécution d’ordres aux conditions les plus favorables pour le client, le traitement des ordres des clients, les transactions avec des contreparties éligibles, les circonstances qui déclenchent l’obligation d’information pour les entreprises d’investissement ou les opérateurs de marché exploitant un MTF ou un OTF et les opérateurs d’un marché réglementé, les circonstances affectant d’une manière significative les intérêts des investisseurs ou le fonctionnement ordonné du marché aux fins de la suspension et du retrait d’un instrument financier à la négociation sur un MTF, un OTF ou un marché réglementé, les marchés de croissance des PME, les seuils au-delà desquels s’appliquent les obligations en matière de déclaration des positions et les critères en fonction desquels le fonctionnement d’une plate-forme de négociation dans un État membre d’accueil pourrait être considéré comme ayant une importance considérable pour le fonctionnement des marchés des valeurs mobilières et la protection des investisseurs.

(106) In order to attain the objectives set out in this Directive, the power to adopt acts in accordance with Article 290 of the Treaty should be delegated to the Commission in respect of details concerning exemptions, the clarification of definitions, the criteria for the assessment of proposed acquisitions of an investment firm, the organisational requirements for investment firms, the management of conflicts of interest, conduct of business obligations in the provision of investment services, the execution of orders on terms most favourable to the client, the handling of client orders, the transactions with eligible counterparties, the SME growth markets, the conditions for the assessment of initial capital of third country firms, measures concerning systems resilience, circuit breakers and electronic trading, the admission of financial instruments to trading, the suspension and removal of financial instrtuments from trading, the thresholds for position reporting held by categories of traders, the cooperation between competent authorities.
(106) Afin d’atteindre les objectifs fixés dans la présente directive, il convient de conférer à la Commission le pouvoir d’adopter des actes conformément à l’article 290 du traité en ce qui concerne les modalités détaillées des exemptions, la clarification des définitions, les critères d’évaluation des acquisitions envisagées par une entreprise d’investissement, les exigences organisationnelles applicables aux entreprises d’investissement, la gestion des conflits d’intérêts, les règles de conduite dans le cadre de la fourniture de services d’investissement, l’exécution d’ordres aux conditions les plus favorables pour le client, le traitement des ordres des clients, les transactions avec des contreparties éligibles, les marchés de croissance des PME, les conditions d’évaluation du capital initial des entreprises de pays tiers, les mesures concernant la résilience des systèmes, les coupe-circuit et le trading électronique, l’admission des instruments financiers à la négociation, la suspension et le retrait d’instruments financiers de la négociation, les seuils applicables à la déclaration des positions par catégorie de trader et la coopération entre les autorités compétentes.

2. By way of derogation from paragraph 1, competent authorities may permit financial holding companies which are the parent financial holding company in a Member State of an investment firm in such a group to use a value lower than the value calculated under paragraph 1(d), but no lower than the sum of the requirements imposed in Articles 18 and 20 on an individual basis to investment firms, financial institutions, asset management companies and ancillary services undertakings which would otherwise be consolidated and the total amount of any contingent liability in favour of investment firms, financial institutions, asset management companies and ancillary services undertakings which would otherwise be consolidated.
2. any financial holding company which is the parent financial holding company in a Member State of any investment firm in such a group holds at least as much capital, defined here as the sum of points (a) to (h) of Article 57 of Directive 2006/48/EC, as the sum of the full book value of any holdings, subordinated claims and instruments as referred to in Article 57 of that Directive in investment firms, financial institutions, asset management companies and ancillary services undertakings which would otherwise be consolidated, and the total amount of any contingent liability in favour of investment firms, financial institutions, asset management companies and ancillary services undertakings which would otherwise be consolidated.

Where the criteria in the first subparagraph are met, each EU investment firm shall have in place systems to monitor and control the sources of capital and funding of all financial holding companies, investment firms, financial institutions, asset management companies and ancillary services undertakings within the group.

4. When providing investment advice or portfolio management the investment firm shall obtain the necessary information regarding the client's or potential client's knowledge and experience in the investment field relevant to the specific type of product or service, his financial situation and his investment objectives so as to enable the firm to recommend to the client or potential client the investment services and financial instruments that are suitable for him.
4. In determining whether the criteria for a qualifying holding referred to in this Article are fulfilled, Member States shall not take into account voting rights or shares which investment firms or credit institutions may hold as a result of providing the underwriting of financial instruments and/or placing of financial instruments on a firm commitment basis included under point 6 of Section A of Annex I, provided that those rights are, on the one hand, not exercised or otherwise used to intervene in the management of the issuer and, on the other, disposed of within one year of acquisition.
