In the 2007 judgment the Court of Justice found that Germany had infringed the free movement of capital by maintaining in force three provisions of the Volkswagen Law , namely (i) the provision granting the Federal State and the Land of Lower Saxony the right each to appoint two representatives to the supervisory board of the Volkswagen AG, as well as (ii) the provision capping the voting rights of any individual shareholder at 20% ‘in conjunction with’ the provision affording any shareholder holding 20 % of the share capital a blocking minority to resolutions of the general assembly of Volkswagen.

In that case, the Commission essentially submitted that three provisions of the VW-Gesetz could deter direct investment and thus restricted the free movement of capital within the meaning of Article 56 EC in that they (i), in derogation from the general law, capped the voting rights of every shareholder at 20 % of Volkswagen’s share capital, (ii) required a majority of over 80 % of the shares represented for resolutions of the general assembly, which, according to the general law, require only a majority of 75 % and (iii) allowed, in derogation from the general law, the Federal State and the Land of Lower Saxony each to appoint two representatives to Volkswagen’s supervisory board.

The German Government also referred to its communications of 15 July 1994, 14 September 1994 and 9 December 1994, submitted in the framework of the procedure concerning the intended financial measures to assist NMH and Lech-Stahlwerke GmbH (hereinafter referred to as 'LSW`) under the privatization plan of Bavaria, and stressed that the loans should be seen solely in relation to that plan. The Commission decided on 4 April 1995 (2) that the intended loss compensation of DM 125,7 million (ECU 67,81 million) and the contribution for investment of DM 56 million (ECU 29,78 million) in favour of NMH as well as the intended loss compensation of DM 20 million (ECU 10,63 million) for LSW represented State aid incompatible with the Steel Aid Code and that Bavaria should consequently not grant this aid.
