Le 16 juin 2015, la Commission a reçu notification, conformément à l’article 4 du règlement (CE) no 139/2004 du Conseil (1), d’un projet de concentration par lequel l’entreprise Saint-Gobain SA («Saint-Gobain», France) acquiert, au sens de l’article 3, paragraphe 1, point b), du règlement sur les concentrations, le contrôle de l’ensemble de l’entreprise Sika AG («Sika», Suisse) par l’achat de toutes les actions de l’entreprise Schenkler-Winkler Holding AG.
On 16 June 2015, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Saint-Gobain SA (‘Saint-Gobain’, France) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of Sika AG (‘Sika’, Switzerland), by way of purchase of all shares in Schenkler-Winkler Holding AG.

F. considérant que la Belgique a introduit la demande EGF/2013/011 BE/Saint-Gobain Sekurit en vue d'obtenir une contribution financière du Fonds à la suite de 257 licenciements consécutifs à la fermeture d'un site du groupe Saint-Gobain Sekurit (SGS), situé à Auvelais, qui produisait du verre de sécurité pour l'industrie automobile; considérant que ces licenciements sont survenus pendant et après la période de référence allant du 31 août 2013 au 31 décembre 2013 et sont liés à un recul de la production de verre de sécurité dans l'Union;
F. whereas Belgium submitted application EGF/2013/011 BE/Saint-Gobain Sekurit for a financial contribution from the EGF following 257 redundancies linked to the closure of a plant of the Saint-Gobain Sekurit (SGS) group, located in Auvelais, which produced safety glass for the automotive industry; whereas the redundancies took place during and after the reference period from 31 August 2013 to 31 December 2013 and are linked to a decline in the production of automotive safety glass in the Union;

(3) Le 19 décembre 2013, la Belgique a introduit une demande de mobilisation du Fonds pour des licenciements intervenus au sein de l'entreprise Saint-Gobain Sekurit Benelux SA, demande qu'elle a complétée par des informations complémentaires dont les dernières ont été reçues le 4 juillet 2014.

Saint-Gobain estime que comme les performances des matériaux utilisés pour produire des substrats de DPF sont plus élevées, cette différence se reflétant aussi dans le différence du prix entre les deux produits: le coût moyen des substrats destinés aux DPF (sans les coûts du revêtement catalytique ni ceux du gainage) est de 120 EUR, tandis que les substrats destinés aux DOC (également sans les coûts du revêtement catalytique ni ceux du gainage) est de 12 à 20 EUR.
According to Saint-Gobain, since the materials used for the substrates for DPF are higher performance materials, there is also a difference in prices between the two components: a substrate (without the cost of catalyst coating and canning) of a DPF on average costs EUR 120, while a substrate of a DOC on average costs between EUR 12-EUR 20 (also without the cost of catalyst coating and canning).
