(33) Il est entendu que lorsqu’une personne acquiert un bien amortissable pour une contrepartie qui, d’après ce qu’il est raisonnable de considérer, comprend le transfert d’un bien, la partie du coût du bien amortissable pour la personne qui est imputable au transfert ne peut dépasser la juste valeur marchande du bien transféré.
(33) For greater certainty, where a person acquires a depreciable property for consideration that can reasonably be considered to include a transfer of property, the portion of the cost to the person of the depreciable property attributable to the transfer shall not exceed the fair market value of the transferred property.

(3) If a Canadian affiliate of an entrant bank transfers an eligible property to the entrant bank, the entrant bank begins immediately after the transfer to use or hold the transferred property in its Canadian banking business and the Canadian affiliate and the entrant bank jointly elect, in accordance with subsection (11), to have this subsection apply in respect of the transfer, subsections 85(1) (other than paragraph (e.2)), (1.1), (1.4) and (5) apply, with any modifications that the circumstances require, in respect of the transfer, except that the portion of subsection 85(1) before paragraph (a) shall be read as follows:

(27) If subsection (26) applies in respect of a transfer of property to an individual and that property has a fair market value greater than $50, the transferor must file an information return containing prescribed information with the Minister not later than 90 days after the day on which the property was transferred and provide a copy of the return to the individual.

(16) If subsection (15) applies in respect of a transfer of property to a corporation and that property has a fair market value greater than $50, the transferor must file an information return containing prescribed information with the Minister not later than 90 days after the day on which the property was transferred and provide a copy of the return to the corporation.

Where, in the case of a cross-border merger of companies covered by this Directive, the laws of the Member States require the completion of special formalities before the transfer of certain assets, rights and obligations by the merging companies becomes effective against third parties, those formalities shall be carried out by the company resulting from the cross-border merger.

However up to now, there was no single document that set out all the information required for such transfers and which could act as proof that a particular transfer had been authorised by the authorities of a Member State.

3. Lorsqu'en cas de fusion de coopératives, la loi d'un État membre requiert des formalités particulières pour l'opposabilité aux tiers du transfert de certains biens, droits et obligations apportés par les coopératives qui fusionnent, ces formalités s'appliquent et sont effectuées soit par les coopératives qui fusionnent, soit par la SEC à dater de son immatriculation.
3. Where, in the case of a merger of cooperatives, the law of a Member State requires the completion of any special formalities before the transfer of certain assets, rights and obligations by the merging cooperatives becomes effective against third parties, those formalities shall apply and shall be carried out either by the merging cooperatives or by the SCE following its registration.
