Duferco Clabecq est la société créée par le groupe Duferco et les autorités wallonnes (à travers la SWS) en vue de l’acquisition de l’entreprise Forges de Clabecq (6) en situation de faillite depuis le 3 janvier 1997.

In its overall assessment of the assistance from Société Wallonne pour la Sidérurgie (SWS) in favour of Duferco Clabecq, the Commission has taken account of the apportionment of the risks between the two shareholders, with the principal private shareholder assuming the major part of the entrepreneurial risk and taking responsibility for the management of the firm and with the public shareholder assuming a lesser risk as a definite fixed return will be payable on its contribution irrespective of the firm's performance.

Cependant, ce risque de perte pour la SWS a été compensé, dans le cas présent, par une garantie de l'actionnaire majoritaire privé, "Duferco International Investment Holding Limited", société holding du groupe DUFERCO, qui a fait l'engagement de caution solidaire et indivisible à concurrence de 75% de toutes sommes dues (principal + intérêts) en cas de faillite de Duferco Clabecq.
However, this risk of a loss for SWS has been offset in the present case by a guarantee from the majority private shareholder, Duferco International Investment Holding Ltd. The latter, which is the holding company for the Duferco group, has provided a joint and several guarantee to the tune of 75% of all sums due (principal and interest) in the event of Duferco Clabecq becoming insolvent.
