(91) Le seul élément indubitable reste le fait que la Région wallonne a abandonné, le 20 novembre 1998, une créance certaine de 113712000 BEF sur le groupe Beaulieu en échange de 9704 actions dans une société (Verlipack Holding II) dont la situation s'était encore dégradée au point de justifier un nouveau plan de refinancement en juin 1998 dans le cadre duquel il n'avait pas été possible de trouver un investisseur privé acceptant d'apporter 100 millions de BEF au capital social.
(91) The only incontrovertible aspect is still the fact that on 20 November 1998 the Walloon Region waived a definite debt of BEF 113712000 owed to it by the Beaulieu Group in exchange for 9704 shares in a company (Verlipack Holding II) whose situation had worsened to the extent that in June 1998 it had required a new refinancing plan in the context of which it had not been possible to find a private investor willing to contribute BEF 100 million to its capital.

(73) Indépendamment de la complexité du dispositif juridico-financier qui sous-tend l'intervention en juin 1998 de la société luxembourgeoise de participations financières Worldwide Investors, qui a assuré l'apport de 100 millions de BEF à Verlipack Holding II, un élément indiscutable se détache: le groupe Beaulieu a soldé en décembre 1998 une dette de 113712000 BEF vis-à-vis de la Région wallonne par la dation en paiement de 9704 actions de Verlipack Holding II, dont la valeur nominale était de 100 millions de BEF, mais dont la valeur réelle devait être considérablement inférieure, compte tenu de la situation patrimoniale de ladite société.
(73) Leaving aside the complexity of the legal and financial arrangements behind the intervention in June 1998 of Worldwide Investors, which injected BEF 100 million into Verlipack Holding II, one indisputable fact stands out: in December 1998 the Beaulieu Group settled a debt of BEF 113712000 towards the Walloon Region by transferring, in lieu of payment, 9704 shares in Verlipack Holding II, the nominal value of which was BEF 100 million but the real value of which was to prove significantly lower given the assets position of the company.

Sur base de ces informations, la Commission a constaté que le groupe Beaulieu a soldé en décembre 1998 une dette de BEF 113.712.000 vis-à-vis de la Région wallonne par la dation en paiement de 9.704 actions du Holding Verlipack II dont la valeur nominale était de BEF 100 millions, mais dont la valeur réelle devait être considérablement inférieure, compte tenu de la situation patrimoniale de ladite société au moment de la transaction.
From the information supplied the Commission learnt that in December 1998 the Beaulieu group had settled a debt of BEF 113 712 000 owed to the Walloon Region by transferring 9 704 shares in Holding Verlipack II, the nominal value of which was BEF 100 000 000, but the real value of which must have been significantly lower, given the assets position of the company at the time.
