La société Financière Sernam ainsi que sa filiale Sernam Services ayant été placées en redressement judiciaire, le 31 janvier 2012, et Aster, filiale de Financière Sernam, ayant été placée en liquidation judiciaire le 3 février 2012, les autorités françaises sont invitées à déterminer le montant des aides, à majorer des intérêts, à recouvrer dans les plus brefs délais afin de les faire enregistrer au passif de ces entreprises.

Selon les autorités françaises l’apport partiel d’actifs à Sernam Xpress ne constitue en aucun cas un transfert intragroupe dès lors que Sernam Xpress est une «société coquille» utilisée pour loger les actifs en bloc de Sernam SA aux seules fins de permettre leur cession concomitante à l’acquéreur - la société Financière Sernam - et non pour poursuivre l’activité de sa société mère.
According to the French authorities, the partial contribution of assets to Sernam Xpress is not an intra-group transfer in any case, since Sernam Xpress is a ‘shell company’ used to accommodate the assets en bloc of Sernam SA for the sole purposes of permitting their simultaneous disposal to the acquiring party – the company Financière Sernam – and not to continue the business of the parent company.
