Pour assurer une surveillance complémentaire efficace des entités réglementées appartenant à un conglomérat financier, en particulier lorsque le siège social d’une de ses filiales se trouve dans un pays tiers, les entreprises auxquelles s’applique la présente directive devraient couvrir toutes les entreprises, en particulier tout établissement de crédit dont le siège statutaire est établi dans un pays tiers et qui nécessiterait un agrément si son siège statutaire était dans l’Union.
In order to ensure effective supplementary supervision of regulated entities in a financial conglomerate, in particular where the head office of one of its subsidiaries is in a third country, the undertakings to which this Directive applies should include any undertaking, in particular any credit institution which has its registered office in a third country and which would require authorisation if its registered office were in the Union.

16. Une SE qui a transféré son siège statutaire dans un autre État membre est considérée, aux fins de tout litige survenant avant le transfert tel qu'il est déterminé au paragraphe 10, comme ayant son siège statutaire dans l'État membre où la SE était immatriculée avant le transfert, même si une action est intentée contre la SE après le transfert.
16. An SE which has transferred its registered office to another Member State shall be considered, in respect of any cause of action arising prior to the transfer as determined in paragraph 10, as having its registered office in the Member States where the SE was registered prior to the transfer, even if the SE is sued after the transfer.
