La Commission observe que, même si SACE BT a reçu un capital plus conséquent que nécessaire pour la croissance organique de sa branche «assurance-crédit» (première ligne directrice), les autorités italiennes et SACE ont fourni des documents qui démontrent qu'avant même la constitution de SACE BT (le 27 mai 2004), SACE avait déjà envisagé et analysé l'expansion nationale et internationale de SACE BT (respectivement, deuxième et troisième lignes directrices).
The Commission observes that, while SACE BT received a capital larger than the one needed for the organic growth of its credit insurance business (first pillar), Italy and SACE have provided documents showing that SACE had already considered and analysed the national and international expansion of SACE BT (respectively second and third pillar) before establishing SACE BT on 27 May 2004.

In light of the considerations of SACE done before the investment as well as the detailed analysis sought from the reputable external advisor, which preliminary identified the potential targets, the Commission can agree with the claim of Italy and SACE that the acquisition plans were considered by SACE, when investing the capital into SACE BT, without being able to estimate their profitability or expected synergies without having access to internal data of such potential targets and without knowing the sale price.

Par plainte déposée le 5 juin 2007 et enregistrée le 7 juin 2007, la Commission a été informée du fait que, durant le mois de mai 2004, SACE S.p.A (ci-après «SACE») avait accordé une dotation en capital initial de 100 millions d'EUR à SACE BT S.p.A (ci-après «SACE BT»), une filiale nouvellement créée (ci-après la «première mesure»).
By a complaint lodged on 5 June 2007, registered on 7 June 2007, the Commission was informed that, in May 2004, SACE S.p.A (‘SACE’) had implemented an initial capital allocation of EUR 100 million in favour of its newly established subsidiary SACE BT S.p.A (‘SACE BT’) (‘the first measure’).

Dans un souci d'exhaustivité, la Commission démontrera, dans les considérants qui suivent, que si SACE avait effectué cette comparaison, elle se serait rendu compte que la liquidation de SACE BT constituait une option préférable à l'injection de 70 millions d'EUR de capitaux supplémentaires dans cette filiale en proie à de sérieuses difficultés.
For the sake of completeness, in the paragraphs below the Commission will in any event show that, if SACE had made such a comparison, it would have realised that the liquidation of SACE BT would have been more convenient than injecting further 70 million of capital in SACE BT despite its difficulties.
