Nonobstant les dispositions de la communication sur les restructurations, le point 14 de la communication de la Commission concernant l’application, à partir du 1er janvier 2012, des règles en matière d’aides d’État aux aides accordées aux banques dans le contexte de la crise financière (15) (la «communication de 2011 sur la prorogation») précise que la Commission «procédera à une appréciation proportionnée de la viabilité à long terme des banques, en tenant pleinement compte des éléments indiquant que ces dernières peuvent être viables à long terme sans devoir faire l’objet d’une restructuration significative, notamment si le besoin en capital est essentiellement lié à une crise de confiance concernant la dette souveraine, si l’injection de capital public est limitée au montant nécessaire à la compensation des pertes engendrées par la valorisation au cours du marché des obligations souveraines [européennes] dans des banques qui seraient normalement viables, et si l’analyse démontre que les banques en question n’ont pas pris de risque excessif lors de l’acquisition de dettes souveraines».
Notwithstanding the requirements set out in the Restructuring Communication, point 14 of the Communication from the Commission on the application, from 1 January 2012, of State aid rules to support measures in favour of banks in the context of the financial crisis (‘the 2011 Prolongation Communication’) (15) specifies that the Commission will ‘undertake a proportionate assessment of the long term viability of banks, taking full account of elements indicating that banks can be viable in the long term without the need for significant restructuring, in particular where the capital shortage is essentially linked to a confidence crisis on sovereign debt, the public capital injection is limited to the amount necessary to offset losses stemming from marking [European] sovereign bonds to market in banks which are otherwise viable, and the analysis shows that the banks in question did not take excessive risk in acquiring sovereign debt’.

36. Expresses doubts also about the ineligibility for regional aid of ‘firms in difficulties within the meaning of the Community guidelines on State aid for rescuing and restructuring firms in difficulty’ (paragraph 11 of the draft guidelines); believes that companies undergoing restructuring should not be exposed to more stringent measures, especially when a priori negative assessment of aid requests from these companies might lead to relocation outside the EU; points out that responsible company restructuring in today’s uncertain and constantly changing business environment is the main measure to provide the long-term sustainability of investment, jobs and growth; notes that the proposed rule as drafted is not only inconsistent with helping firms affected by the economic crisis in assisted regions but also impossible to implement, given that those guidelines explicitly contain no precise definition of firms in difficulty; recalls its resolution of 15 January 2013 with recommendations to the Commission on information and consultation of workers, anticipation and management of restructuring calling for a legal act on those matters, and requests that the Commission acts without delay;

In the decision to initiate the formal investigation, the Commission found that the notified loans and guarantee in the restructuring plan constituted State aid within the meaning of Article 87(1) EC, now 107(1) TFEU, and examined the compatibility of the restructuring plan under Article 87(3)(c) EC, now 107(3)(c) TFEU, in conjunction with the Commission’s restructuring Guidelines (67).

The provisions in point (a) of Article 15(1) of Second Council Directive 77/91/EEC of 13 December 1976 on coordination of safeguards, and the provisions of Article 1(4)(b) and Article 1(5) of Directive 2006/68/EC of the European Parliament and of the Council of 6 September 2006 amending Council Directive 77/91/EEC as applied to Public Limited Liability Companies could help prevent asset stripping as divestment just to pay down acquisition debt while at the same time allowing sufficient leeway for legitimate strategic restructurings.
