Le règlement (CE) no 809/2004 de la Commission du 29 avril 2004 mettant en œuvre la directive 2003/71/CE du Parlement européen et du Conseil en ce qui concerne les informations contenues dans les prospectus, la structure des prospectus, l’inclusion d’informations par référence, la publication des prospectus et la diffusion des communications à caractère promotionnel détaille, pour différents types de titres, les informations minimales à inclure dans un prospectus aux fins de l’article 7, paragraphe 1, de la directive 2003/71/CE.
Commission Regulation (EC) No 809/2004 of 29 April 2004 implementing Directive 2003/71/EC of the European Parliament and of the Council as regards information contained in prospectuses as well as the format, incorporation by reference and publication of such prospectuses and dissemination of advertisements sets out the minimum information to be included in a prospectus for different kinds of securities in order to comply with Article 7(1) of Directive 2003/71/EC.

The Commission should be empowered to adopt regulatory technical standards developed by ESMA, with regard to the content and format of presentation of the key financial information to be included in the summary, the cases where it is possible for certain information to be omitted from the prospectus, the information to be incorporated by reference and further types of documents required under Union law, the publication of the prospectus, the data necessary for the classification of prospectuses in the storage mechanism operated by ESMA, the provisions concerning advertisements, the situations where a significant new factor, material mistake or material inaccuracy relating to the information included in the prospectus requires a supplement to the prospectus to be published, the technical arrangements necessary for the functioning of the ESMA notification portal, the minimum content of the cooperation arrangements with supervisory authorities in third countries and the templates to be used therefor, and the information exchanged between competent authorities and ESMA in the context of the obligation to cooperate.

(7) Where, during the distribution or distribution to the public of a security under a prospectus, an order is made to cease trading in the security, or the receipt issued by the Director for the prospectus is revoked or the prospectus lapses or the use of a prospectus is otherwise prohibited by this Act, the regulations or by a decision of the Commission or an order of a court, a summary statement filed with the prospectus shall cease to have force and effect for the purposes of section 86 unless the Director otherwise orders.

In order to establish whether or not a third country issuer is meeting equivalent requirements to those laid down in Article 4(3) of Directive 2004/109/EC, it is important to ensure that there is consistency with Commission Regulation (EC) No 809/2004 of 29 April 2004 implementing Directive 2003/71/EC of the European Parliament and of the Council as regards information contained in prospectuses as well as the format, incorporation by reference and publication of such prospectuses and dissemination of advertisements , in particular the items dealing with Historical Financial Information to be included in a prospectus.

Tout fait nouveau significatif ou toute erreur ou inexactitude substantielles concernant les informations contenues dans le prospectus, qui est de nature à influencer l'évaluation des valeurs mobilières et survient ou est constaté entre l'approbation du prospectus et la clôture définitive de l'offre au public ou, le cas échéant, le début de la négociation sur un marché réglementé, est mentionné dans un supplément au prospectus.
1. Every significant new factor, material mistake or inaccuracy relating to the information included in the prospectus which is capable of affecting the assessment of the securities and which arises or is noted between the time when the prospectus is approved and the final closing of the offer to the public or, as the case may be, the time when trading on a regulated market begins, shall be mentioned in a supplement to the prospectus.
