Proposes that the simplified prospectus - in the spirit of the European Federation of Investment Funds and Companies (FEFSI) proposal of October 2003 - should take the form of a fact sheet to give investors transparency and provide them with a harmonised pan-European document setting out brief, standardised, understandable, and comparable information, on two to three pages, in their own language, including information on the nature and risk of the financial instruments used and a quotation of the total expense ratio based on a standardised calculation and of load fees, an understandable description of the asset management (investment) strategy and references to the relevant sections of the full prospectus from which detailed information can be obtained; believes that this document should be offered to the investor before conclusion of the contract;

Cette directive vise notamment à simplifier les procédures transfrontières en prévoyant certains cas de dispenses partielles ou totales de l'obligation de publier le prospectus pour des émetteurs dont les valeurs mobilières sont déjà admises à la cote d'une bourse officielle dans un autre Etat membre, lorsqu'il s'agit de sociétés connues dont l'information est largement diffusée et disponible à travers la Communauté ou lorsque des obligations équivalentes en matière de publicité existent.
The aim of this Directive is, in particular, to simplify cross-border procedures by providing in certain cases for partial or total exemption from the obligation to publish listing particulars for issuers whose securities are already admitted to official stock-exchange listing in another Member State in the case of known companies information regarding which is distributed on a wide front and is available throughout the Community or where an equivalent obligation to publish exists.
