Il s’agit, dès lors, ainsi que souligné dans la lettre du 17 décembre 2004, d’un terme qui, non seulement n’est pas légal ni conforme aux usages du commerce, mais aussi d’un terme qui est dès le départ intégré aux négociations relatives à la privatisation du chantier naval et, qui plus est, en tant que terme critique (sine qua non), sans lequel il ne serait pas possible de finaliser la vente des actions de HSY.
Consequently, as it is also underlined in the letter of 17.12.2004, it concerns not only a legal and financially common condition, but also a condition which is included in the negotiations for the privatisation of the Shipyard from the outset and, in particular, in the form of a critical (sine qua non) condition, without which the completion of the sale of HSY’s shares would not have been possible.

The preamble of Regulation (EC) No 1013/97 indicates ‘Whereas, in spite of the efforts made by the Greek Government to privatise all its public yards by March 1993, the Hellenic shipyards was only sold in September 1995 to a cooperative of its workers, the State having kept a majority holding of 51 % for defence interests; Whereas the financial viability and the restructuring of the Hellenic shipyard necessitates the provision of aid which allows the company to write-off the debt accumulated before its delayed privatisation’.

In this context, HSY indicates that, given that the Hellenic Navy was always the most important client of the yard, the procedure and the terms of the privatisation, including the entry into force of Law 2941/2001, should be examined under the light of the State-client, which for national defence reasons is interested in maintaining the operation and the viability of the yard.
