La première d’entre elles a consisté à étendre le cadre de la directive 90/435/CE concernant le régime fiscal commun applicable aux sociétés mères et filiales d’États membre différents en la modifiant par la directive 2003/123/CE du Conseil, qui élimine la double imposition économique et juridique des flux transfrontaliers de dividendes dans le cadre de la Communauté.
The first one was the expansion of the framework of Directive 90/435/EC on the common system of taxation for parent and subsidiary companies through Council Directive 2003/123/ES, which eliminates the economic and legal double taxation of cross-border flows of dividends within the framework of the Community.

As regards vertical effects of the operation, the parent companies, as hotel services providers, the back-end company as a GDS specialized in hotel information and reservation and the front-end company, as a travel agency will operate in three sectors which are vertically integrated.
