In order to ensure a level playing field, it should also be possible to exclude joint venture companies from the scope of this Directive if they are jointly held by local energy utilities or operators falling within point (f) of Article 3 of Directive 2003/87/EC who do not provide any services other than investment services for local energy utilities or operators falling within point (f) of Article 3 of Directive 2003/87/EC, and provided that those local energy utilities or those operators will be exempt under point (j) of Article 2(1) should they carry out those investment services themselves.

1. Member States may require undertakings referred to in point (a) of Article 1(1) which are governed by their laws and which are members having unlimited liability of any undertaking referred to in point (b) of Article 1(1) (‘the undertaking concerned’), to draw up, have audited and publish, with their own financial statements, the financial statements of the undertaking concerned in accordance with this Directive; in such case the requirements of this Directive shall not apply to the undertaking concerned.

5. Par dérogation au paragraphe 2, lorsqu’un groupe d’entreprises de dimension communautaire au sens de l’article 2, paragraphe 1, point c), comprend une ou plusieurs entreprises ou un ou plusieurs groupes d’entreprises qui sont des entreprises de dimension communautaire ou des groupes d’entreprises de dimension communautaire au sens de l’article 2, paragraphe 1, point a) ou c), le comité d’entreprise européen est institué au niveau du groupe, sauf disposition contraire des accords visés à l’article 6.

Notwithstanding paragraph 2, where a Community-scale group of undertakings within the meaning of Article 2(1)(c) comprises one or more undertakings or groups of undertakings which are Community-scale undertakings or Community-scale groups of undertakings within the meaning of Article 2(1)(a) or (c), a European Works Council shall be established at the level of the group unless the agreements referred to in Article 6 provide otherwise.

3.
