Considers that, should the concept of concentration be extended, special attention should be paid to the fact that certain agreements between companies might present possibilities for exercising decisive influence on the market, as these possibilities will determine the final treatment of an operation as an agreement under Article 81 of the EC Treaty or as a concentration under the Merger Regulation; believes that, in any case, the possible effects that the current proposal to amend Council Regulation (EEC) No 17/1962 could have on the required analysis of these kinds of operations (i.e. the disappearance of the current notification system) must be borne in mind;

Agrees with the Commission that the transnational dimension of concentration transactions must continue to be the criterion serving to determine whether the Commission or the national competition authorities (NCAs) should have jurisdiction and that the system set out in Article 1(2) of the Regulation must remain couched in its present wording; believes, however, that the two-thirds rule should be revised and interpreted in a narrower sense because, in reality, the transactions to which it applies have a dimension extending beyond the territory of a single Member State;

In any case, the possible effects that the current proposal of modification of Regulation 17/1962 could have on the required analysis of this kind of operations (i.e. the disappearance of the current notification system), must be borne in mind;

La Commission ne partage pas cette interprétation, car elle irait à l'encontre de l'objet même et de la lettre de l'article 8 et notamment de son paragraphe 4, qui contient l'expression "une opération de concentration", sans limiter la compétence de la Commission aux opérations de concentration "notifiées" (terme qui se retrouve ailleurs dans le Règlement, comme à l'article 6, à l'article 8, paragraphe 2, à l'article 9, paragraphe 1, etc.) et habilite la Commission à agir "par voie de décision distincte", possibilité qui serait sans objet si elle ne pouvait agir que dans le cas des opérations de concentration interdites par l'article 8, paragraphe 3.
The Commission does not share this interpretation, as it would run counter to the very purpose and wording of Article 8, in particular of Article 8(4), which refers to "a concentration", without limiting the powers of the Commission to cases of "notified" concentrations (language used elsewhere in the Merger Regulation; see e.g. Articles 6, 8(2), 9(1), etc) and empowers the Commission to act "by separate decision", a possibility that would be pointless if the Commission could only act in cases of concentrations prohibited under Article 8(3).

11.1. 11.1. If the parties to the concentration, and/or other involved parties (including the seller and minority shareholders), enter into ancillary restrictions directly related and necessary to the implementation of the concentration, these restrictions may be assessed in conjunction with the concentration itself (see Article 6(1)(b) and Article 8(2) of the Merger Regulation, recital 25 to the Merger Regulation, recital 7 to Regulation (EC) No 1310/97 and the Commission notice on restrictions ancillary to concentrations) (20).

The simplified procedure followed by the Commission concerns merger transactions: (a) where the joint venture's turnover and total assets are each less than 100 million; (b) where, in the case of a merger or of acquisition of sole or joint control of another undertaking, the parties are not engaged in business activities on the same market as any other party to the merger; (c) where, in the case of a merger or of acquisition of sole or joint control of another undertaking, the parties are engaged in business activities on the same market as another party to the merger but their combined market share is not 15% or more for horizontal relationships and 25% or more for vertical relationships.
