The French government had notified aid projects on 25 February and 4 May 1988, on the basis of Article 93, paragraph 3 of the EEC Treaty in favour of eight companies involved either in steel making or in steel trading (tubes, steel wire, constructions, off-shore operations, forges, foundries and scrap trading). The Commission had opened a procedure on these proposed public aid schemes on the basis of Article 93, paragraph 2 of the EEC Treaty.

I 1. August-Thyssen-Hütte Aktiengesellschaft of Duisburg-Hamborn (ATH) is an undertaking within the meaning of Article 80 of the Treaty having a share capital of DM 1 010 million. ATH is active in the production of steel and in the manufacture of end products from steel. 25. considérant que, en raison de leur taille, leur position sur les marchés des laminés en acier et leur structure de production fortement diversifiée, de nouvelles participations importantes du groupe Thyssen/Rheinstahl dans des entreprises de production, de négoce ou de transformation de l'acier et consommant de fortes quantités d'acier pourraient aboutir à de nouvelles restrictions de la concurrence, tenant notamment au fait que le groupe obtiendrait une position artificiellement privilégiée pouvant comporter des avantages substantiels dans l'accès aux approvisionnements et aux débouchés ; que, pour permettre à la Commission d'apprécier l'incidence de ces participations sur la concurrence, il importe qu'à l'avenir elles lui soient soumises pour autorisation préalable, lorsqu'elles représenteront 10 % ou plus et pour les entreprises ne tombant pas sous l'article 80 du traité lorsqu'il sera acquis une participation et que la consommation d'acier dépasse plus de 50 000 tonnes par an;
25. In view of the size, position on the steel market and strongly diversified production structure of the Thyssen/Rheinstahl Group, any new, substantial holdings which it acquired in steel producing or dealing undertakings, or in processing undertakings using steel in large quantities, might lead to further restrictions on competition, in particular by enabling the Group to establish an artificially privileged position involving a substantial advantage in access to supplies or markets. To enable the Commission to assess the probable effects of such holdings on competition, the acquisition thereof, where 10 % or more of the shares of the undertaking concerned are involved and, in the case of an undertaking not coming within Article 80 of the Treaty, its annual steel consumption exceeds 50 000 metric tons, should be made subject to prior authorization from the Commission.

24. considérant que des liens personnels entre les organes de gestion des entreprises de production et de négoce de l'acier faisant partie du groupe et des entreprises de même nature n'y participant pas peuvent avoir des effets préjudiciables à la concurrence sur le marché de l'acier et que les risques que comportent ces liens sont d'autant plus grands qu'ils peuvent exposer d'autres groupes à l'influence du groupe Thyssen/Rheinstahl considérablement renforcé par suite de la concentration;
24. The existence of interlocking directorates as between the steel producing and dealing undertakings involved and other undertakings in the same sector could have an adverse effect on competition on the steel market. The dangers involved in such links are all the greater in that they might expose other groups to the influence of the Thyssen/Rheinstahl Group, substantially strengthened as it will be as a result of the merger.
