Les États membres veillent à ce que lorsqu’un OPCVM maître et un OPCVM nourricier sont établis dans des États membres différents, l’accord entre ces deux OPCVM visé à l’article 60, paragraphe 1, premier alinéa, de la directive 2009/65/CE stipule que le droit applicable est, soit celui de l’État membre où est établi l’OPCVM maître, soit celui de l’État membre où est établi l’OPCVM nourricier, et que les deux parties reconnaissent la compétence exclusive des juridictions de l’État membre dont le droit est désigné comme applicable à cet accord.
2. Member States shall ensure that where the feeder UCITS and the master UCITS are established in different Member States, the agreement between the master UCITS and the feeder UCITS referred to in the first subparagraph of Article 60(1) of Directive 2009/65/EC provides that the applicable law shall be either the law of the Member State in which the feeder UCITS is established or that it shall be that of the Member State in which the master UCITS is established and that both parties agree to the exclusive jurisdiction of the courts of the Member State whose law they have stipulated to be applicable to the agreement.

In order to facilitate the effective operation of the internal market and to ensure the same level of investor protection throughout the Community, master-feeder structures should be allowed both where the master and the feeder are established in the same Member State and where they are established in different Member States.

Si l’OPCVM maître et l’OPCVM nourricier sont établis dans le même État membre, les autorités compétentes communiquent immédiatement à l’OPCVM nourricier toute décision, mesure, observation relative au non-respect des dispositions du présent chapitre ou information communiquée au titre de l’article 106, paragraphe 1, relative à l’OPCVM maître ou, le cas échéant, à sa société de gestion, à son dépositaire ou à son contrôleur légal des comptes.

If the master UCITS and the feeder UCITS are established in the same Member State, the competent authorities shall immediately inform the feeder UCITS of any decision, measure, observation of non-compliance with the conditions of this Chapter or of any information reported pursuant to Article 106(1) with regard to the master UCITS or, where applicable, its management company, depositary or auditor.
