IN-CONTEXT TRANSLATIONS

Afin de préciser les exigences énoncées dans le présent règlement, il convient de déléguer à la Commission le pouvoir d’adopter des actes conformément à l’article 290 du traité sur le fonctionnement de l’Union européenne en ce qui concerne les informations à inclure au minimum dans certains documents qui doivent être rendues publiques dans le cadre d’une offre publique d’acquisition par voie d’offre publique d’échange, d’une fusion ou d’une scission, l’examen, l’approbation, le dépôt et la revue du document d’enregistrement universel et de ses amendements ainsi que les conditions dans lesquelles le statut d’émetteur fréquent est perdu, la forme du prospectus, du prospectus de base et des conditions définitives, et les informations spécifiques à inclure dans un prospectus, les informations à inclure au minimum dans le document d’enregistrement universel, les informations allégées à inclure dans le prospectus simplifié en cas d’émissions secondaires et par les PME, le contenu allégé spécifique, la forme normalisée et l’ordre des parties du prospectus de croissance de l’Union et de son résumé spécifique, les critères d’évaluation et de présentation des facteurs de risque par l’émetteur, l’examen et l’approbation des prospectus et les critères d’équivalence généraux pour les prospectus établis par des émetteurs de pays tiers.
In order to specify the requirements set out in this Regulation, the power to adopt acts in accordance with Article 290 of the Treaty on the Functioning of the European Union (TFEU) should be delegated to the Commission in respect of the minimum information content of certain documents to be made available to the public in connection with a takeover by means of an exchange offer, a merger or a division, the scrutiny, approval, filing and review of the universal registration document and any amendments thereto as well as the conditions under which the status of frequent issuer is lost, the format of the prospectus, the base prospectus and the final terms, and the specific information which must be included in a prospectus, the minimum information to be included in the universal registration document, the reduced information to be included in the simplified prospectus in cases of secondary issuances and by SMEs, the specific reduced content and standardised format and sequence of the EU Growth prospectus and its specific summary, the criteria for assessment and presentation of risk factors by the issuer, the scrutiny and approval of prospectuses and the general equivalence criteria for prospectuses drawn up by third country issuers.

À la demande de l’émetteur ou de la personne chargée de rédiger le prospectus, dans les trois jours ouvrables qui suivent la réception de cette demande, ou, lorsque la demande est soumise avec le projet de prospectus, dans un délai d’un jour ouvrable après l’approbation du prospectus, l’autorité compétente de l’État membre d’origine transmet à l’autorité compétente de l’État membre d’accueil un certificat d’approbation attestant que le prospectus a été établi conformément à la présente directive, ainsi qu’une copie de ce prospectus.
The competent authority of the home Member State shall, at the request of the issuer or the person responsible for drawing up the prospectus and within three working days following receipt of that request or, where the request is submitted together with the draft prospectus, within one working day after the approval of the prospectus, notify the competent authority of the host Member State with a certificate of approval attesting that the prospectus has been drawn up in accordance with this Directive and with a copy of that prospectus.

L’autorité responsable de l’approbation du prospectus devrait aussi transmettre à l’émetteur ou à la personne chargée de rédiger le prospectus le certificat d’approbation du prospectus fourni aux autorités des États membres d’accueil conformément à la directive 2003/71/CE afin que l’émetteur ou la personne chargée de rédiger le prospectus puisse être certain que la notification a été effectuée et soit également informé de la date de cette notification.
The authority responsible for the approval of the prospectus should also notify the issuer or the person responsible for drawing up the prospectus of the certificate of approval of the prospectus that is addressed to the authorities of host Member States in accordance with Directive 2003/71/EC in order to provide the issuer or the person responsible for drawing up the prospectus with certainty as to whether and when a notification has actually been effected.

Every significant new factor, material mistake or inaccuracy relating to the information included in the prospectus which is capable of affecting the assessment of the securities and which arises or is noted between the time when the prospectus is approved and the final closing of the offer to the public or, as the case may be, the time when trading on a regulated market begins, whichever occurs later, shall be mentioned in a supplement to the prospectus.

The designation of a competent authority for prospectus approval should not exclude cooperation between that authority and other entities, with a view to guaranteeing efficient scrutiny and approval of prospectuses in the interest of issuers, investors, markets participants and markets alike.
