2. Les États membres veillent à ce que lorsque l’accord entre l’OPCVM nourricier et l’OPCVM maître a été remplacé par des règles de conduite internes conformément à l’article 60, paragraphe 1, troisième alinéa, de la directive 2009/65/CE, l’accord entre le dépositaire de l’OPCVM maître et celui de l’OPCVM nourricier stipule que le droit applicable à l’accord d’échange d’informations entre les deux dépositaires est, soit celui de l’État membre d’établissement de l’OPCVM nourricier, soit, s’il est différent, celui de l’État membre d’établissement de l’OPCVM maître, et que les deux dépositaires reconnaissent la compétence exclusive des juridictions de l’État membre dont le droit s’applique à cet accord.
2. Member States shall ensure that where the agreement between the feeder UCITS and the master UCITS has been replaced by internal conduct of business rules in accordance with the third subparagraph of Article 60(1) of Directive 2009/65/EC, the agreement between the depositaries of the master UCITS and the feeder UCITS provides that the law applying to the information-sharing agreement between both depositaries shall be either that of the Member State in which the feeder UCITS is established or, where different, that of the Member State in which the master UCITS is established, and that both depositaries agree to the exclusive jurisdiction of the courts of the Member State whose law is applicable to the information-sharing agreement.

En ce qui concerne les structures maître-nourricier, la Commission devrait être habilitée à arrêter les mesures qui visent à préciser le contenu de l’accord entre l’OPCVM maître et l’OPCVM nourricier ou des règles de conduite internes, le contenu de l’accord de partage d’informations entre leurs dépositaires ou leurs contrôleurs légaux des comptes, la définition des mesures appropriées pour coordonner le calendrier du calcul et de la publication de leur valeur nette d’inventaire, afin d’écarter les possibilités d’opérations d’arbitrage sur leurs parts entre la valeur comptable et la valeur de marché (market timing), l’impact de la fusion du maître sur l’agrément du nourricier, les types d’irrégularités provenant du maître à signaler au nourricier, la forme et le mode de fourniture des informations à transmettre aux porteurs de parts lors de la conversion d’un OPCVM en un OPCVM nourricier, la procédure d’évaluation et de contrôle du transfert d’actifs d’un nourricier à un maître et le rôle du dépositaire du nourricier dans ce processus.
As regards master-feeder structures, the Commission should be empowered to adopt measures designed to specify the content of the agreement between master and feeder UCITS or of the internal conduct of business rules, the content of the information-sharing agreement between either their depositaries or their auditors, the definition of measures appropriate to coordinate the timing of their net asset value calculation and publication in order to avoid market timing, the impact of the merger of the master on the authorisation of the feeder, the type of irregularities originating from the master to be reported to the feeder, the format and the way to provide information to unit-holders in case of conversion from a UCITS to a feeder UCITS, the procedure for valuing and auditing the transfer of assets from a feeder to a master, and the role of the depositary of the feeder in this process.

2. Le dépositaire de l’OPCVM maître informe immédiatement les autorités compétentes de l’État membre d’origine de l’OPCVM maître, l’OPCVM nourricier ou, le cas échéant, la société de gestion et le dépositaire de l’OPCVM nourricier, de toute irrégularité qu’il constate en ce qui concerne l’OPCVM maître, considérée comme ayant une incidence négative sur l’OPCVM nourricier.
2. The depositary of the master UCITS shall immediately inform the competent authorities of the master UCITS home Member State, the feeder UCITS or, where applicable, the management company and the depositary of the feeder UCITS about any irregularities it detects with regard to the master UCITS which are deemed to have a negative impact on the feeder UCITS.

Les États membres exigent que l’OPCVM nourricier ou, le cas échéant, la société de gestion de l’OPCVM nourricier se charge de communiquer au dépositaire de l’OCPVM nourricier toute information concernant l’OPCVM maître qui est nécessaire pour que le dépositaire de l’OPCVM nourricier puisse s’acquitter de ses obligations.
Member States shall require that the feeder UCITS or, when applicable, the management company of the feeder UCITS be in charge of communicating to the depositary of the feeder UCITS any information about the master UCITS which is required for the completion of the duties of the depositary of the feeder UCITS.
