Quant à la décision refusant d’ordonner à Ryanair de se défaire de sa participation, le Tribunal constate que, aux termes du règlement sur les concentrations, l’acquisition d’une participation qui ne confère pas, en tant que telle, le contrôle d’une société – c’est-à-dire donnant la possibilité d’exercer une influence déterminante sur l’activité de l’entreprise – ne constitue pas une concentration réputée réalisée, visée par ce règlement.
As regards the decision refusing to order Ryanair to divest its shareholding, the General Court notes that, according to the Merger Regulation, the acquisition of a shareholding which does not, as such, confer control of a company – that is to say the possibility of exercising decisive influence over the activity of the undertaking – does not constitute a merger which is deemed to have arisen for the purposes of that regulation.
