Ces récupérations, y compris la récupération des aides initialement octroyées à Sernam SA et à Sernam Xpress, doivent s’effectuer auprès de la Financière Sernam ainsi que de ses filiales, Sernam Service et Aster, qui poursuivent aujourd’hui l’activité économique ayant bénéficié des aides, autrefois exercée par Sernam Xpress (ayant fusionné avec la Financière Sernam) et, avant ceci, par Sernam SA.
These amounts, including that of the aid originally granted to Sernam SA and Sernam Xpress, must be recovered from Financière Sernam and its subsidiaries, Sernam Service and Aster, which are currently carrying out the economic activity in receipt of aid, previously carried out by Sernam Xpress (having merged with Financière Sernam) and, prior to this, by Sernam SA.

The French authorities consider the Commission’s analysis, according to which the transfer of Sernam SA’s activities to Financière Sernam comprises two successive operations, i.e.: (1) an intra-group transfer of assets en bloc from Sernam SA to Sernam Xpress (at this stage a wholly-owned subsidiary of Sernam SA), then (2) a sale of Sernam Xpress to Financière Sernam, corresponding to a share deal and not to a sale of assets, to be artificial and unjustified.

La Commission a conclu que les autorités françaises avaient manqué à leur obligation de récupérer l'aide illégale de 41 millions d'euros et qu'il incombe à la société Financière Sernam, qui poursuit l'activité de Sernam, et à ses filiales de rembourser cette somme ainsi que toutes les autres aides dont Sernam a bénéficié, soit un total de plus de 642 millions d'euros auquel devront s'ajouter les intérêts.
The Commission has concluded that the French authorities have failed in their obligation to recover unlawful aid of €41 million and that it is up to Financière Sernam, the company continuing Sernam’s business activities, and its subsidiaries to repay this sum and all other aid that Sernam has received, a total of over €642 million, plus interest.

It is therefore appropriate to examine the transfer of Sernam SA’s activities to Financière Sernam in the light of the criteria developed by the Court of Justice and General Court in order to establish whether it is appropriate to extend the recovery to Financière Sernam and its subsidiaries, Sernam Services and Aster.
