L'opération, qui combine les trois derniers producteurs allemands de houille, fait partie du "Kohlekompromiss", un accord signé en 1997 entre tous les acteurs du secteur houiller allemand (État, Länder, entreprises et syndicats) et définissant les modalités de la restructuration de l'industrie charbonnière allemande pendant la période 1997-2005.
The transaction, which combines the remaining last three German hard coal producers, is part of the "Kohlekompromiss", an agreement signed in 1997 between all participants in the German hard coal sector (German state, Länder, companies and trade unions) which set out the way in which the German coal industry would be restructured over the period 1997 to 2005.

In its decision of 10 June 1998 (IP/98/521) concerning financial aid granted by Germany to the coal industry in 1997, the Commission deferred its decision, on the one hand, on an amount of operating aid under Article 3 of decision 3632/93/ECSC totalling 65 million marks for "Preussag Anthrazit GmbH" and, on the other hand, on an amount of aid for a reduction in activity under Article 4 of decision 3632/93/ECSC totalling 12 million marks for "Sophia Jacoba GmbH", amounting to an overall total of 77 million marks.

In view of the restricted progress that the companies concerned will be able to make towards greater economic viability in the light of coal prices on the international markets, the Commission has also taken account of the urgency which must be granted to the need, as far as possible, to mitigate the social and regional repercussions of the restructuring of the German coalmining industry.
