“investment firm” means an investment firm within the meaning of point 1 of Article 4(1) of Directive 2004/39/EC, including the undertakings referred to in Article 3(1)(d) of Directive 2006/49/EC of the European Parliament and of the Council of 14 June 2006 on the capital adequacy of investment firms and credit institutions or an undertaking the registered office of which is in a third country and which would require authorisation under Directive 2004/39/EC if its registered office were in the Union.

Where the participating insurance or reinsurance undertaking or the insurance holding company or the mixed financial holding company referred to in Article 213(2)(a) and (b) is itself a subsidiary undertaking of another insurance or reinsurance undertaking or of another insurance holding company or of another mixed financial holding company which has its head office in the Union, Articles 218 to 258 shall apply only at the level of the ultimate parent insurance or reinsurance undertaking, insurance holding company or mixed financial holding company which has its head office in the Union.

Ces quatre conditions sont les suivantes: a) le bénéficiaire d'un mécanisme de financement d'un SIEG par l'État doit être formellement investi de l'exécution d'un SIEG dont les obligations doivent être clairement définies, b) les paramètres sur la base desquels sera calculée la compensation doivent être préalablement établis de façon objective et transparente, afin d'éviter qu'elle comporte un avantage économique susceptible de favoriser l'entreprise bénéficiaire par rapport à des entreprises concurrentes; c) la compensation ne peut dépasser ce qui est nécessaire pour couvrir tout ou partie des coûts occasionnés par l'exécution du SIEG en tenant compte des recettes y relatives ainsi que d'un bénéfice raisonnable lié à l'exécution de ces obligations et d) lorsque le choix du bénéficiaire n'est pas effectué dans le cadre d'une procédure de marché public, le niveau de la compensation nécessaire doit être déterminé sur la base d'une analyse des coûts qu'une entreprise moyenne, bien gérée, aurait encourus pour exécuter ces obligations en tenant compte des recettes y relatives ainsi que d'un bénéfice raisonnable.
The four conditions are: (a) the beneficiary of a State funding mechanism for an SGEI must be formally entrusted with the provision and discharge of an SGEI, the obligations of which must be clearly defined; (b) the parameters for calculating the compensation must be established beforehand in an objective and transparent manner, to avoid it conferring an economic advantage which may favour the recipient undertaking over competing undertakings; (c) the compensation cannot exceed what is necessary to cover all or part of the costs incurred in the discharge of the SGEI, taking into account the relevant receipts and a reasonable profit for discharging those obligations; and (d) where the beneficiary is not chosen pursuant to a public procurement procedure, the level of compensation granted must be determined on the basis of an analysis of the costs which a typical undertaking, well run, would have incurred in discharging those obligations, taking into account the relevant receipts and a reasonable profit.

6. Les entreprises dont le siège social se trouve dans un pays tiers et qui auraient dû être agréées conformément à l'article 5, paragraphe 1, de la directive 85/611/CEE ou, s'agissant de la gestion de portefeuille, en vertu de la section A, point 4, de l'annexe I de la directive 2004/39/CE si leur siège social ou, uniquement dans le cas d'une entreprise d'investissement, leur siège central s'était trouvé dans la Communauté sont également exemptées de l'obligation d'agréger leurs participations avec celles de leur entreprise mère en vertu des obligations prévues à l'article 12, paragraphes 4 et 5, à condition qu'elles respectent des conditions équivalentes d'indépendance en tant que sociétés de gestion ou entreprises d'investissement.
6. Undertakings whose registered office is in a third country which would have required an authorisation in accordance with Article 5(1) of Directive 85/611/EEC or, with regard to portfolio management under point 4 of section A of Annex I to Directive 2004/39/EC if it had its registered office or, only in the case of an investment firm, its head office within the Community, shall also be exempted from aggregating holdings with the holdings of its parent undertaking under the requirements laid down in Article 12(4) and (5) provided that they comply with equivalent conditions of independence as management companies or investment firms.
