On 17 June 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which Russian Machines RM (‘Russian Machines’ of the Russian Federation), ultimately controlled by Basic Element (of the Russian Federation) and Fritzmeier Auslandsholding GmbH Co. KG (‘Fritzmeier’ of Germany), ultimately controlled by the Fritzmeier Group (of Germany), acquire within the meaning of Article 3(1)(b) of the Merger Regulation joint control over a newly created joint venture (‘JV’, Russian Federation).

On 16 September 2013, the European Commission (‘the Commission’) received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the ‘Merger Regulation’) (2) by which INEOS AG (‘INEOS’, Switzerland) and Solvay SA (‘Solvay’, Belgium), jointly referred to as the ‘Notifying Parties’, acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control of a newly established joint venture (‘JV’), by way of transfer of assets (3).

Takes note that the Seventh Framework Programme Decision establishes a monitoring and reporting system related to the protection, dissemination and transfer of research results; ascertains that in 2013 the Joint Undertaking has increased its own capacity to monitor and report research results of its projects and to assess the achievement of its programme through the hiring of a Knowledge Management and Policy officer; notes the introduction of a new IT tool which helps with the analysis and synthesis of the results of finished projects and reporting the first public foreground deliverables arising from complex projects on its website;

6. constate que l'entreprise commune a présenté un plan d'action afin de corriger les insuffisances identifiées par la Cour des comptes dans son opinion avec réserve; prend acte des dernières informations fournies par l’entreprise commune en ce qui concerne la mise en œuvre de l’audit ex post en son sein; attend l’avis de la Cour sur la nouvelle formule proposée pour le calcul du taux d'erreur résiduel estimatif dans les opérations de l’entreprise commune; observe que la mise en œuvre du plan d'action a commencé en 2014; attend, avec intérêt, que l'ensemble du plan d'action soit mis en œuvre de façon efficace et que la Cour émette son opinion sur le résultat obtenu; attire l'attention sur les difficultés qui pourraient surgir à la limite entre l'autorité souveraine des autorités de financement nationales et celle de l'entreprise commune; demande à l’entreprise commune de fournir un premier rapport d’évaluation intermédiaire sur la mise en œuvre du plan d’action;
6. Acknowledges from the Joint Undertaking that an action plan, was submitted which aims to remedy the deficiencies identified by the Court in its qualified opinion; acknowledges receipt from the Joint Undertaking of the last update with regard to the ex-post audit implementation in the Joint Undertaking; awaits the Court’s opinion on the new formula proposed for the calculation of an estimated residual error rate in the Joint Undertaking’s transactions; notes that the implementation of the action plan commenced in 2014; looks forward to the successful implementation of the entire action plan, as well as to the opinion of the Court on its outcome; points out that difficulties may arise on the boundary between the NFA's sovereign authority and the Joint Undertaking's authority; calls on the Joint Undertaking to provide a first interim evaluation report on the implementation of the action plan;

7. prend acte que, selon l'entreprise commune, outre les améliorations apportées à sa stratégie d'audit ex post, elle a également présenté un plan d'action destiné à remédier aux manquements constatés par la Cour dans son opinion avec réserve; reconnaît que l'entreprise commune lui a transmis l'état d'avancement de la mise en œuvre de son audit ex post; attend l'avis de la Cour sur la nouvelle formule proposée pour le calcul d'un taux d'erreur résiduel estimatif dans les opérations de l'entreprise commune; constate que la mise en œuvre de ce plan d'action a commencé en 2014; escompte qu'il sera mené à bonne fin et attend avec intérêt l'avis de la Cour sur les résultats auxquels il aboutira; remarque que les périmètres respectifs de la souveraineté des autorités de financement nationales, d'une part, et de la compétence de l'entreprise commune, d'autre part, peuvent donner lieu à des difficultés; invite l'entreprise commune à fournir un premier rapport d'évaluation intermédiaire sur la mise en œuvre du plan d'action;

Une nouvelle entreprise commune devrait être établie aux fins de la mise en œuvre de l’initiative technologique conjointe en matière de médicaments innovants (ci-après dénommée «entreprise commune IMI2») et elle devrait se substituer et succéder à l’entreprise commune IMI.
A new joint undertaking should be established for the implementation of the Joint Technology Initiative on Innovative Medicines (‘IMI2 Joint Undertaking’) and should replace and succeed the IMI Joint Undertaking.

(9) Le règlement (CE) n° 1361/2008 du Conseil du 16 décembre 2008 modifiant le règlement (CE) n° 219/2007 relatif à la constitution d'une entreprise commune pour la réalisation du système européen de nouvelle génération pour la gestion du trafic aérien (SESAR) dispose que le mandat du directeur exécutif en fonction le 1 janvier 2009 prend fin à la date à laquelle l'entreprise commune cesse d'exister et que, en cas de prolongation de la durée d'existence de l'entreprise commune, une nouvelle procédure de nomination du directeur exécutif devrait être lancée conformément à l'article 7, paragraphe 2, de l'annexe du règlement (CE) n° 219/2007.
(9) Council Regulation (EC) No 1361/2008 of 16 December 2008 amending Regulation (EC) No 219/2007 on the establishment of a joint undertaking to develop the new generation European air traffic management system (SESAR) indicates that the mandate of the Executive Director in force on 1 January 2009 shall cease on the date on which the Joint Undertaking shall cease to exist and that in the event of an extension of the duration of the Joint Undertaking, a new procedure leading to the appointment of the Executive Director should be launched in accordance with Article 7(2) of the Annex to Regulation (EC) No 219/2007.

As a body set up by the Communities, it is appropriate to align the legal status of the SESAR Joint Undertaking with that of the other newly established Joint Undertakings, in order to ensure that this Joint Undertaking benefits from the same treatment as that afforded to the other newly established Joint Undertakings.

On 4 November 2004, the Commission received a notification under Article 4 of Council Regulation (EC) No 139/2004 (‘the Merger Regulation’) a proposed concentration by which the German undertakings Bertelsmann AG (‘Bertelsmann’), its solely controlled subsidiary Gruner+Jahr AG Co. KG (‘G+J’), and Axel Springer AG (‘Springer’), would acquire joint control of the German undertaking NewCo (‘NewCo’) by way of purchase of shares in a newly created company constituting a joint venture.
