Acknowledges that between September 2012 and February 2013, the Commission carried out its Second Interim Evaluation in order to assess the Joint Undertaking and the ARTEMIS Joint Undertaking in terms of relevance, effectiveness, efficiency and research quality; takes note that the report was issued in May 2013 and contained several recommendations for the Joint Undertaking; recalls that the measures concern the efficiency of project reviews, measures to be taken to improve the match of the project portfolio to strategic Union aims and the appropriate metrics for measuring the impact and success of its projects;

Acknowledges from the Joint Undertaking that an action plan, was submitted which aims to remedy the deficiencies identified by the Court in its qualified opinion; acknowledges receipt from the Joint Undertaking of the last update with regard to the ex-post audit implementation in the Joint Undertaking; awaits the Court’s opinion on the new formula proposed for the calculation of an estimated residual error rate in the Joint Undertaking’s transactions; notes that the implementation of the action plan commenced in 2014; looks forward to the successful implementation of the entire action plan, as well as to the opinion of the Court on its outcome; points out that difficulties may arise on the boundary between the NFA's sovereign authority and the Joint Undertaking's authority; calls on the Joint Undertaking to provide a first interim evaluation report on the implementation of the action plan;

Takes into consideration that the new Financial Regulation applicable to the general budget of the Union was adopted on 25 October 2012 and took effect on 1 January 2013 while the model financial regulation for public-private partnership bodies referred to in Article 209 of the new Financial Regulation did not enter into force until 8 February 2014; notes that the financial rules of the Joint Undertaking have not been amended to reflect these changes because of the merger into ECSEL Joint Undertaking;

Le 1er octobre 2014, la Commission européenne a reçu notification, conformément à l’article 4 du règlement (CE) no 139/2004 du Conseil (1), d’un projet de concentration par lequel l’entreprise Robert Bosch GmbH (Allemagne) acquiert, au sens de l’article 3, paragraphe 1, point b), du règlement sur les concentrations, le contrôle de l’ensemble de l’entreprise ZF Lenksysteme GmbH (Allemagne) par achat d’actions.
On 1 October 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Robert Bosch GmbH (of Germany) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertaking ZF Lenksysteme GmbH (of Germany) by way of purchase of shares.

Without prejudice to Article 154 of the Treaty, any dispute either between Members of the Joint Undertaking or between one or more Members and the Joint Undertaking concerning the interpretation or application of these Statutes, which is not settled by the good offices of the Governing Board, may, at the request of any party to the dispute, be submitted to an arbitration tribunal.

(5) considérant qu'il convient de définir la notion de concentration, de telle sorte qu'elle couvre les opérations entraînant un changement durable dans la structure des entreprises concernées; que, dans le cas spécifique des entreprises communes, il est indiqué d'inclure dans le champ d'application et la procédure du règlement (CEE) n° 4064/89 toutes les entreprises communes de plein exercice; que, en plus de l'appréciation sous l'angle de la position dominante prévue à l'article 2 dudit règlement, il faut prévoir que la Commission applique les critères de l'article 85 paragraphes 1 et 3 du traité à ces entreprises communes, dans la mesure où une restriction appréciable de la concurrence entre des entreprises qui demeurent indépendantes est la conséquence directe de leur création; que, si les effets de telles entreprises communes sur le marché sont avant tout structurels, l'article 85 paragraphe 1 ne s'applique pas en règle générale; que l'article 85 paragraphe 1 peut être d'application si deux des entreprises fondatrices ou plus restent actives dans le marché de l'entreprise commune ou, le cas échéant, si la création de l'entreprise commune a pour objet ou pour effet d'empêcher, de restreindre ou de fausser le jeu de la concurrence entre les entreprises fondatrices dans des marchés situés en amont ou en aval ou des marchés voisins; que, dans cette situation, l'appréciation de tous les aspects de la création de l'entreprise commune quant à la concurrence doit être effectuée dans le cadre de la même procédure;
(5) Whereas it is appropriate to define the concept of concentration in such a manner as to cover operations bringing about a lasting change in the structure of the undertakings concerned; whereas in the specific case of joint ventures it is appropriate to include within the scope and procedure of Regulation (EEC) No 4064/89 all full-function joint ventures; whereas, in addition to the dominance test set out in Article 2 of that Regulation, it should be provided that the Commission apply the criteria of Article 85 (1) and (3) of the Treaty to such joint ventures, to the extent that their creation has as its direct consequence an appreciable restriction of competition between undertakings that remain independent; whereas, if the effects of such joint ventures on the market are primarily structural, Article 85 (1) does not as a general rule apply; whereas Article 85 (1) may apply if two or more parent companies remain active in the market of the joint venture, or, possibly, if the creation of the joint venture has as its object or effect the prevention, restriction or distortion of competition between the parent companies in upstream, downstream or neighbouring markets; whereas, in this context, the appraisal of all competition aspects of the creation of the joint venture must be made within the same procedure;
