9. Si, après la date de signature du présent Accord, le Viêtnam conclut un Accord bilatéral en vue d’éviter les doubles impositions avec un autre État membre de l’Organisation de Coopération et de Développement Économiques dont les dispositions prévoient que le Viêtnam peut imposer les redevances provenant du Viêtnam et payées à un résident de cet État mais que l’impôt établi ne peut excéder un pourcentage du montant brut des redevances qui est inférieur au pourcentage visé à l’alinéa a) du paragraphe 2 de l’article 12, ce pourcentage inférieur s’appliquera à partir de la date d’entrée en vigueur de cet Accord. 9. If, after the date of signature of this Agreement, Vietnam concludes a bilateral Agreement for the avoidance of double taxation with any other member State of the Organisation for Economic Co-operation and Development and, under the provisions of that Agreement, Vietnam may tax royalties arising in Vietnam and paid to a resident of that State but the tax charged is not to exceed a percentage of the gross amount of the royalties which is lesser than the percentage specified in subparagraph (a) of paragraph 2 of Article 12, then the lower percentage shall apply from the date of entry into force of that Agreement; however, such lower percentage shall apply only to royalties to which it applies in that Agreement and only where the payments are for the use of, or the right to use, computer software or, where the payer and the beneficial owner of the royalties are not related persons, for the use of, or the right to use, any patent or for information concerning industrial, commercial or scientific experience (but not including any such information provided in connection with a rental or franchise agreement).

7. Nonobstant les dispositions du paragraphe 5, un État contractant, autre qu’un État contractant qui perçoit l’impôt additionnel sur les revenus visés au paragraphe 6, peut imposer un dividende payé par une société dans la mesure où le dividende est imputable à des bénéfices gagnés au cours d’années d’imposition commençant après la date de signature de la Convention si, pendant la période de trois ans se terminant à la clôture de la période d’imposition de la société précédant la déclaration du dividende (ou pendant la fraction de cette période de trois ans au cours de laquelle la société a existé ou pour la première année d’imposition si le dividende a été déclaré au cours de cette année d’imposition), au moins 50 p. 100 de l’ensemble des revenus bruts de ladite société était inclus dans le calcul des bénéfices imputables à un établissement stable que 1adite société avait dans cet État; étant entendu que, lorsqu’un résident de l’autre État contractant est le bénéficiaire effectif de ce dividende, tout impôt ainsi établi sur le dividende est sujet aux limitations du paragraphe 2 ou aux règles du paragraphe 4, suivant les cas.
7. Notwithstanding the provisions of paragraph 5, a Contracting State, other than a Contracting State that imposes the additional tax on earnings referred to in paragraph 6, may tax a dividend paid by a company to the extent that the dividend is attributable to profits earned in taxable years beginning after the date of signature of the Convention if, for the three-year period ending with the close of the company’s taxable period preceding the declaration of the dividend (or for such part of that three-year period as the company has been in existence, or for the first taxable year if the dividend was declared in that taxable year), at least 50 per cent of such company’s gross income from all sources was included in the computation of the business profits attributable to a permanent establishment which such company had in that State; provided that where a resident of the other Contracting State is the beneficial owner of such dividend any tax so imposed on the dividend shall be subject to the limitations of paragraph 2 or the rules of paragraph 4, as the case may be.

4. Dans l’éventualité ou le Kirghizistan, dans le cadre d’un Accord ou d’une Convention conclu après la date de signature du présent Accord, accepterait un taux inférieur à 15 p. 100 pour l’imposition des dividendes entre sociétés ou des intérêts, ce taux inférieur (mais en aucun cas un taux inférieur à 5 p. 100 dans le cas des dividendes entre sociétés ou à 10 p. 100 dans le cas des intérêts) s’appliquera aux fins du paragraphe 2 de l’article 10 et du paragraphe 3 du présent Protocole à l’égard des dividendes reçus par une société qui en est le bénéficiaire effectif et qui contrôle directement ou indirectement au moins 10 p. 100 des droits de vote de la société qui paie les dividendes ou qui détient au moins 25 p. 100 du capital de la société qui paie les dividendes, ou aux fins du paragraphe 2 de l’article 11 à l’égard des intérêts, suivant les cas.
4. In the event that pursuant to an Agreement or Convention concluded after the date of signature of this Agreement, Kyrgyzstan agrees to a rate of tax on inter-company dividends or on interest that is lower than 15 per cent, then such lower rate (but not in any event a rate below 5 per cent in the case of inter-company dividends or 10 per cent in the case of interest) shall apply for the purpose of paragraph 2 of Article 10 and paragraph 3 of this Protocol with respect to dividends received by a company that is the beneficial owner of the dividends and that controls directly or indirectly at least 10 per cent of the voting power in the company paying the dividends or that holds at least 25 per cent of the capital of the company paying the dividends, or of paragraph 2 of Article 11 with respect to interest, as the case may be.
