The administrative or management bodies of a company being divided shall inform the general meeting of that company and the administrative or management bodies of the recipient companies so that they can inform their respective general meetings of any material change in the assets and liabilities between the date of preparation of the draft terms of division and the date of the general meeting of the company being divided which is to decide on the draft terms of division.

J. whereas Egyptian civil society and international NGOs face mounting pressure and major difficulties in operating in Egypt; whereas the draft law on Civil Associations and Foundations has caused significant concern amongst civil society activists and organisations as the draft law in its present form would hand considerable discretionary power to the government over the activities and funding of civil society groups; whereas the draft law also imposes restrictions on civil society groups’ access to foreign funding, proving a discretionary right to block access to such funds on adoption of a justified decision by the newly formed Coordination Committee;

Echoes the deep concern expressed by Egyptian civil society activists regarding the draft laws on civil associations and foundations and on demonstrations, which, if adopted, would further reduce the operational space of civil society in the country; urges the Egyptian Government to engage in a genuine public consultation process, and to submit new draft legislation which complies with Egypt’s international human rights commitments and which ensures, inter alia, an enabling environment for civil society organisations and for the peaceful expression of dissent; calls for an end to government interference and to any form of pressure, intimidation or harassment against civil society and trade union activists, as well as against journalists;

Si la législation d'un État membre dont relève une société qui fusionne prévoit une procédure permettant d'analyser et de modifier le rapport d'échange des titres ou des parts, ou une procédure visant à indemniser les associés minoritaires, sans empêcher l'immatriculation de la fusion transfrontalière, ces procédures ne s'appliquent que si les autres sociétés qui fusionnent et qui sont situées dans un État membre ne prévoyant pas ce type de procédures, acceptent explicitement, lorsqu'elles approuvent le projet commun de fusion transfrontalière conformément à l'article 6, paragraphe 1, la possibilité offerte aux associés de la société qui fusionne dont il est question d'avoir recours aux dites procédures à engager auprès du tribunal compétent pour cette société qui fusionne. Dans ce cas, un tribunal, un notaire ou une autre autorité compétente peut délivrer le certificat visé au paragraphe 2, même si une procédure de ce type est engagée.
(2a) If the law of a Member State to which a merging company is subject provides for a procedure to scrutinise and amend the ratio applicable to the exchange of securities or shares, or a procedure to compensate minority members, without preventing the registration of the cross-border merger, such procedure shall only apply if the other merging companies situated in Member States which do not provide for such procedure explicitly accept, when approving the draft terms of the cross-border merger in accordance with Article 6(1), the possibility for the members of that merging company to have recourse to such procedure to be initiated at the court having jurisdiction over that merging company. In such cases, the court, notary or other competent authorities may issue the certificate referred to in paragraph 2 even if such procedure has commenced.

Where the management or administrative organs of the participating companies draw up a plan for the establishment of an SE, they shall as soon as possible after publishing the draft terms of merger or creating a holding company or after agreeing a plan to form a subsidiary or to transform into an SE, take the necessary steps, including providing information about the identity of the participating companies, concerned subsidiaries or establishments, and the number of their employees, to start negotiations with the representatives of the companies' employees on arrangements for the involvement of employees in the SE.
