In particular, the delegated acts should be adopted in respect of the extension of the scope of certain provisions of this Regulation to third-country central banks, specific details concerning definitions, specific cost-related provisions related to the availability of market data, access to quotes, the sizes at or below which a firm shall enter into transactions with any other client to whom a quote is available, portfolio compression and the further determination of when there is a significant investor protection concern or a threat to investor protection, the orderly functioning and integrity of financial markets or commodity markets or to the stability of the whole or part of the financial system of the Union may warrant ESMA, EBA or competent authorities’ action, position management powers of ESMA, the extension of the transitional period under Article 35(5) of this Regulation for a certain period of time and in respect of the exclusion of exchange-traded derivatives from the scope of certain provisions of this Regulation for a certain period of time.

This Article sets out the key definitions, which are based on those in Commission Recommendation 2005/162/EC on the role of non-executive or supervisory directors of listed companies and of the Committees of the (supervisory) board[14], on Commission Recommendation 2003/361/EC of 6 May 2003 concerning the definition of micro, small and medium-sized enterprises[15] in relation to the definition of SMEs, and on Commission Directive 2006/111/EC of 16 November 2006 on the transparency of financial relations between Member States and public undertakings, as well as on financial transparency within certain undertakings[16] in relation to the definition of public undertakings.

A shorter deadline for achieving the objective (1 January 2018) is set for listed companies which are public undertakings within the meaning of Article 2(b) of Commission Directive 2006/111/EC of 16 November 2006 on the transparency of financial relations between Member States and public undertakings as well as on financial transparency within certain undertakings.[18] Member States exercise a dominant influence over such companies and therefore have more instruments to bring about the change more rapidly.

Certains États membres n'ont toujours pas fourni d'informations complètes et détaillées, notamment en ce qui concerne les chaînes de télévision par satellite et/ou par câble, souvent omises dans les rapports nationaux ; par exemple, les rapports des Pays-Bas et de l'Allemagne ont laissé de côté un nombre considérable de chaînes et l'Italie a exclu systématiquement les chaînes de télévision par satellite de son relevé statistique relatif à l'article 5 [10]. Some Member States still failed to provide full and comprehensive information, particularly with regard to satellite and/or cable television channels which were frequently omitted from national reports, e.g. Netherlands and Germany failed to report on a considerable number of channels and Italy systematically excluded satellite channels from its statistical statement concerning Article 5. [10] Terrestrial television, on the other hand, was covered comprehensively in the Member States' reports.
