En ce qui concerne la nature de l'infraction, la disposition enfreinte par Electrabel constitue l'un des fondements du contrôle communautaire des concentrations, à savoir l'obligation de suspension de la réalisation d'une opération de concentration jusqu'à l'obtention de l'autorisation de la Commission, qui est une condition du contrôle préalable de toutes les concentrations de dimension communautaire.
As for the nature of the infringement, the provision that was breached by Electrabel is one of the cornerstones of Community merger control, namely the obligation to suspend implementation of a concentration until the Commission has given its authorisation. This is a pre-condition for all concentrations with a Community dimension.

In accordance with Commission Regulation (EC) No 1898/2005 of 9 November 2005 laying down detailed rules for implementing Council Regulation (EC) No 1255/99 as regards measures for the disposal of cream, butter and concentrated butter on the Community market (2), the intervention agencies may sell by standing invitation to tender certain quantities of butter of intervention stocks that they hold and may grant aid for cream, butter and concentrated butter.

With a view to preserving the guidance that may be drawn from past judgments of the European courts and Commission decisions pursuant to Regulation (EEC) No 4064/89, while at the same time maintaining consistency with the standards of competitive harm which have been applied by the Commission and the Community courts regarding the compatibility of a concentration with the common market, this Regulation should accordingly establish the principle that a concentration with a Community dimension which would significantly impede effective competition, in the common market or in a substantial part thereof, in particular as a result of the creation or strengthening of a dominant position, is to be declared incompatible with the common market.

(19) En outre, l'application exclusive du présent règlement aux concentrations de dimension communautaire est sans préjudice de l'article 296 du traité et ne s'oppose pas à ce que les États membres prennent des mesures appropriées afin d'assurer la protection d'intérêts légitimes autres que ceux qui sont pris en considération dans le présent règlement, dès lors que ces mesures sont compatibles avec les principes généraux et les autres dispositions du droit communautaire.
(19) Furthermore, the exclusive application of this Regulation to concentrations with a Community dimension is without prejudice to Article 296 of the Treaty, and does not prevent the Member States from taking appropriate measures to protect legitimate interests other than those pursued by this Regulation, provided that such measures are compatible with the general principles and other provisions of Community law.

La notification devrait également être possible lorsque les entreprises concernées assurent la Commission de leur intention de conclure un accord pour une proposition de concentration et lui apportent la preuve que leur projet relatif à cette concentration est suffisamment concret, en lui présentant par exemple un accord de principe, un protocole d'accord ou une lettre d'intention signée par toutes les entreprises concernées ou, dans le cas d'une offre publique d'achat ou d'échange, lorsqu'elles ont annoncé publiquement leur intention de faire une telle offre, à condition que l'accord ou l'offre envisagés aboutissent à une concentration de dimension communautaire.
Notification should also be possible where the undertakings concerned satisfy the Commission of their intention to enter into an agreement for a proposed concentration and demonstrate to the Commission that their plan for that proposed concentration is sufficiently concrete, for example on the basis of an agreement in principle, a memorandum of understanding, or a letter of intent signed by all undertakings concerned, or, in the case of a public bid, where they have publicly announced an intention to make such a bid, provided that the intended agreement or bid would result in a concentration with a Community dimension.

À la demande des entreprises concernées, la Commission devrait pouvoir renvoyer à un État membre une concentration de dimension communautaire susceptible d'affecter de manière significative la concurrence sur un marché à l'intérieur de cet État membre qui présente toutes les caractéristiques d'un marché distinct; les entreprises concernées ne devraient toutefois pas être tenues d'apporter la preuve que les effets de la concentration seraient néfastes à la concurrence.
Upon request by the undertakings concerned, the Commission should be able to refer to a Member State a concentration with a Community dimension which may significantly affect competition in a market within that Member State presenting all the characteristics of a distinct market; the undertakings concerned should not, however, be required to demonstrate that the effects of the concentration would be detrimental to competition.

(10) Une concentration est réputée de dimension communautaire lorsque le chiffre d'affaires total des entreprises concernées dépasse les seuils donnés; tel est le cas, que les entreprises qui réalisent la concentration aient ou non leur siège ou leurs principaux domaines d'activité dans la Communauté, pour autant qu'elles y déploient des activités substantielles.
(10) A concentration with a Community dimension should be deemed to exist where the aggregate turnover of the undertakings concerned exceeds given thresholds; that is the case irrespective of whether or not the undertakings effecting the concentration have their seat or their principal fields of activity in the Community, provided they have substantial operations there.
