In that restructuring, Air Canada, a former crown corporation, became a subsidiary of ACE Aviation Holdings Inc. Bill C-47 requires that the provisions of the Air Canada Public Participation Act in respect of the Official Languages Act and the location of Air Canada's head office in Montreal be applied also to ACE Aviation Holdings Inc. Air Canada has never given any indication that it intends to abandon Montreal and a few months ago, the company signed a long-term lease in that city.

2. The Member States shall require regulated entities or mixed financial holding companies to report on a regular basis and at least annually to the coordinator any significant risk concentration at the level of the financial conglomerate, in accordance with the rules laid down in this Article and in Annex II. The necessary information shall be submitted to the coordinator by the regulated entity within the meaning of Article 1 which is at the head of the financial conglomerate or, where the financial conglomerate is not headed by a regulated entity within the meaning of Article 1, by the mixed financial holding company or by the regulated entity in the financial conglomerate identified by the coordinator after consultation with the other relevant competent authorities and with the financial conglomerate.

Bill C-15 reflects the spirit of those recommendations by giving the Superintendent several powers in addition to the ones I have already mentioned, such as the power to develop standards of sound business practices for insurance companies; the power to appoint an external actuary for an insurance company at the insurance company's expense; the power to allow financial institutions to enter into transactions with a related party if the institution's decision to enter into the transaction was not likely influenced by the related party.

Our reading of the situation, from dealing with our new-found friends at Heritage and others, is that nobody wants to throw Reader's Digest into the net, that everybody agrees it is a Canadian entity, a very valuable Canadian entity, and that the only problem is that because of this marginal relationship, mostly trademark, with an American company, if the net is cast too wide in order to avoid circumvention, it might catch Reader's Digest, almost by mistake.
