1. If, before the expiry of a time limit laid down by national law of at least two years from the time the company is incorporated or is authorised to commence business, the company acquires any asset belonging to a person or company or firm referred to in point (i) of Article 4 for a consideration of not less than one-tenth of the subscribed capital, the acquisition shall be examined and details of it published in the manner provided for in Article 49(1), (2) and (3), and it shall be submitted for the approval of a general meeting.

(2) L’expert-comptable ou ses prédécesseurs, à qui l’un des administrateurs ou un membre habile ou non à voter donne un avis écrit avant la tenue d’une assemblée, selon les modalités de temps prévues par règlement, assistent à cette assemblée aux frais de l’organisation et répondent à toute question relevant de ses fonctions.
(2) If a director or member, whether or not the member is entitled to vote at the meeting, gives written notice not less than the prescribed period before a meeting of members to the public accountant or a former public accountant of the corporation, the public accountant or former public accountant shall attend the meeting at the expense of the corporation and answer questions relating to their duties.

The law adopted by the Federal Republic of Germany, which, in the latter’s opinion, has transposed the judgment of the Court of Justice, still requires, however, a majority of over 80 % of the shares represented for resolutions of the general assembly of the Volkswagen AG, which, according to the Aktiengesetz (German company law), require only a majority of 75 %.

5. Before the general meeting referred to in paragraph 6, one or more independent experts appointed or approved, in accordance with the national provisions, by a judicial or administrative authority in the Member State to which the SCE being converted into a cooperative is subject, shall certify that the latter has assets at least equivalent to its capital.

Cette résolution adoptée en mai 1978 se lisait comme suit: «Que les membres de cette Assemblée réitèrent sans équivoque et avec fermeté leur adhésion au principe selon lequel seuls les Québécois sont habilités à décider de leur avenir constitutionnel selon les dispositions et les règles que cette Assemblée jugera bon d'adopter».
That resolution, adopted in May 1978, read as follows: “That the members of this Assembly unequivocally and firmly reiterate that they subscribe to the principle that Quebeckers alone are entitled to decide their own constitutional future, in accordance with the dispositions and rules this Assembly sees fit to enact”.
