Member States shall ensure that there is appropriate protection for title transfer financial collateral arrangements and set-off and netting arrangements so as to prevent the transfer of some, but not all, of the rights and liabilities that are protected under a title transfer financial collateral arrangement, a set-off arrangement or a netting arrangement between the institution and another person and the modification or termination of rights and liabilities that are protected under such a title transfer financial collateral arrangement, a set-off arrangement or a netting arrangement through the use of ancillary powers.

1. Les États membres veillent à ce que les contrats de garantie financière avec transfert de propriété ainsi que les accords de compensation réciproque et les accords de compensation fassent l’objet d’une protection appropriée de manière à empêcher le transfert d’une partie, mais non de la totalité, des droits et engagements protégés par un contrat de garantie financière avec transfert de propriété ou un accord de compensation réciproque ou un accord de compensation entre l’établissement soumis à une procédure de résolution et une autre personne, ainsi que la modification ou la résiliation de tels droits et engagements protégés par un contrat de garantie financière avec transfert de propriété ou un accord de compensation réciproque ou un accord de compensation par l’exercice de pouvoirs auxiliaires.
1. Member States shall ensure that there is appropriate protection for title transfer financial collateral arrangements and set-off and netting arrangements so as to prevent the transfer of some, but not all, of the rights and liabilities that are protected under a title transfer financial collateral arrangement, a set-off arrangement or a netting arrangement between the institution under resolution and another person and the modification or termination of rights and liabilities that are protected under such a title transfer financial collateral arrangement, a set-off arrangement or a netting arrangement through the use of ancillary powers.

Pour limiter les formalités administratives auxquelles doivent faire face les parties utilisant une garantie financière entrant dans le champ d’application de la présente directive, la seule condition de validité que le droit national peut imposer aux parties en ce qui concerne la garantie financière devrait être que le preneur de garantie ou une personne agissant pour le compte de celui-ci ait le contrôle de ladite garantie, sans exclure le recours à des techniques de garantie permettant au constituant de substituer la garantie ou d’en retirer l'excédent.
In order to limit the administrative burdens for parties using financial collateral under the scope of this Directive, the only perfection requirement regarding parties which national law may impose in respect of financial collateral should be that the financial collateral is under the control of the collateral taker or of a person acting on the collateral taker's behalf while not excluding collateral techniques where the collateral provider is allowed to substitute collateral or to withdraw excess collateral.

2. Avant le 30 avril 2010, la Commission présente un rapport sur l'efficacité de la présente directive en termes de réparation effective des dommages environnementaux, sur la disponibilité à un coût raisonnable et sur les conditions des assurances et autres formes de garantie financière couvrant les activités visées à l'annexe III. En ce qui concerne la garantie financière, le rapport prend également les aspects suivants en considération: une approche progressive, un plafond pour la garantie financière et l'exclusion des activités à faible risque.
2. The Commission, before 30 April 2010 shall present a report on the effectiveness of the Directive in terms of actual remediation of environmental damages, on the availability at reasonable costs and on conditions of insurance and other types of financial security for the activities covered by Annex III. The report shall also consider in relation to financial security the following aspects: a gradual approach, a ceiling for the financial guarantee and the exclusion of low-risk activities.

The collateral taker has a contractually agreed right to use the financial collateral provided as if he were full owner. If he chooses to exercise this right, he is obliged to transfer back the equivalent amount of collateral.

(10) Pour les mêmes raisons, la constitution, la validité, la conclusion, l'opposabilité ou l'admissibilité à titre de preuve d'un contrat de garantie financière ou la constitution d'une garantie financière dans le cadre d'un contrat de garantie financière ne devraient pas être subordonnées à l'accomplissement d'un acte formel tel que l'établissement d'un document sous une forme spécifique ou d'une manière particulière, l'enregistrement auprès d'un organisme officiel ou public ou l'inscription dans un registre public, la publicité dans un journal ou une revue, dans un registre ou une publication officiels ou sous toute autre forme, la notification à un officier public ou la fourniture, sous une forme particulière, de preuves concernant la date d'établissement d'un document ou d'un instrument, le montant des obligations financières couvertes ou tout autre sujet.
(10) For the same reasons, the creation, validity, perfection, enforceability or admissibility in evidence of a financial collateral arrangement, or the provision of financial collateral under a financial collateral arrangement, should not be made dependent on the performance of any formal act such as the execution of any document in a specific form or in a particular manner, the making of any filing with an official or public body or registration in a public register, advertisement in a newspaper or journal, in an official register or publication or in any other matter, notification to a public officer or the provision of evidence in a particular form as to the date of execution of a document or instrument, the amount of the relevant financial obligations or any other matter.

2. Toute référence à une garantie financière "constituée" ou à la "constitution" d'une garantie financière dans la présente directive désigne sa livraison, son transfert, sa détention, son enregistrement ou tout autre traitement ayant pour effet que le preneur de la garantie ou la personne agissant pour son compte acquiert la possession ou le contrôle de cette garantie financière.
2. References in this Directive to financial collateral being "provided", or to the "provision" of financial collateral, are to the financial collateral being delivered, transferred, held, registered or otherwise designated so as to be in the possession or under the control of the collateral taker or of a person acting on the collateral taker's behalf.

This balance should be achieved through the scope of this Directive covering only those financial collateral arrangements which provide for some form of dispossession, i.e. the provision of the financial collateral, and where the provision of the financial collateral can be evidenced in writing or in a durable medium, ensuring thereby the traceability of that collateral.
