TRADUCTIONS EN CONTEXTE

Au plus tard le 27 novembre 2015, la Commission présente au Parlement européen et au Conseil un rapport sur l’application de la présente directive, y compris son impact sur les petits et moyens émetteurs, ainsi que sur l’application des sanctions, en particulier la question de savoir si elles sont effectives, proportionnées et dissuasives, et elle examine le fonctionnement et évalue l’efficacité de la méthode retenue pour calculer le nombre de droits de vote attachés aux instruments financiers visés à l’article 13, paragraphe 1 bis, premier alinéa, de la directive 2004/109/CE.
By 27 November 2015, the Commission shall report on the operation of this Directive to the European Parliament and the Council, including on its impact on small and medium-sized issuers and on the application of sanctions, in particular whether they are effective, proportionate and dissuasive, and shall review the functioning and assess the effectiveness of the retained method for the purposes of calculating the number of voting rights relating to the financial instruments referred to in the first subparagraph of Article 13(1a) of Directive 2004/109/EC.

«6 bis. Le présent article ne s’applique pas aux droits de vote qui sont attachés à des actions acquises à des fins de stabilisation conformément au règlement (CE) no 2273/2003 de la Commission du 22 décembre 2003 portant modalités d’application de la directive 2003/6/CE du Parlement européen et du Conseil en ce qui concerne les dérogations prévues pour les programmes de rachat et la stabilisation d’instruments financiers , pour autant que les droits de vote attachés auxdites actions ne soient pas exercés ni utilisés autrement pour intervenir dans la gestion de l’émetteur.
‘6a. This Article shall not apply to voting rights attached to shares acquired for stabilisation purposes in accordance with Commission Regulation (EC) No 2273/2003 of 22 December 2003 implementing Directive 2003/6/EC of the European Parliament and of the Council as regards exemptions for buy-back programmes and stabilisation of financial instruments , provided the voting rights attached to those shares are not exercised or otherwise used to intervene in the management of the issuer.

Les États membres ne devraient donc pas être autorisés à adopter des règles plus strictes que celles prévues par la directive 2004/109/CE en ce qui concerne le calcul des seuils de notification, l’agrégation des droits de vote attachés à des actions avec les droits de vote attachés à des instruments financiers et les exemptions aux exigences de notification.
Member States should therefore not be allowed to adopt more stringent rules than those provided for in Directive 2004/109/EC regarding the calculation of notification thresholds, aggregation of holdings of voting rights attaching to shares with holdings of voting rights relating to financial instruments, and exemptions from the notification requirements.

Tout État membre fait en sorte que, à l’occasion d’une procédure pénale engagée contre une personne, des condamnations antérieures prononcées dans un autre État membre contre cette même personne pour des faits différents, pour lesquelles des informations ont été obtenues en vertu des instruments applicables en matière d’entraide judiciaire ou d’échange d’informations extraites des casiers judiciaires, soient prises en compte dans la mesure où des condamnations nationales antérieures le sont et où les effets juridiques attachés à ces condamnations sont équivalents à ceux qui sont attachés aux condamnations nationales antérieures conformément au droit interne.
1. Each Member State shall ensure that in the course of criminal proceedings against a person, previous convictions handed down against the same person for different facts in other Member States, in respect of which information has been obtained under applicable instruments on mutual legal assistance or on the exchange of information extracted from criminal records, are taken into account to the extent previous national convictions are taken into account, and that equivalent legal effects are attached to them as to previous national convictions, in accordance with national law.

1. L'émetteur d'actions admises à la négociation sur un marché réglementé publie sans délai toute modification des droits attachés aux différentes catégories d'actions, y compris les droits attachés aux instruments dérivés émis par l'émetteur lui-même et donnant accès aux actions dudit émetteur.

The issuer of shares admitted to trading on a regulated market shall make public without delay any change in the rights attaching to the various classes of shares, including changes in the rights attaching to derivative securities issued by the issuer itself and giving access to the shares of that issuer.
