The amendment also corresponds to the Council recommendation to ensure health coordination and monitoring by means of appropriate structural arrangements (see recital 14 and Article 5.2) and with the intention expressed by the Commission in the minutes regarding the common position, to re-examine, in conjunction with the mid-term assessment of the programme and taking into account the relevant Community legislation, suitable structural measures and to table proposals for the further development and adjustment of those structural measures

The amendment is in accordance with the Council recommendation to ensure, by means of suitable structural measures, health coordination and monitoring (see recital 14 and Article 5.2) and with the Commission commitment contained in the minutes regarding the common position to re-examine, in conjunction with the mid-term assessment of the programme, and taking into account the relevant Community legislation, suitable structural measures and that to submit proposals for the further development and adjustment of these structural measures.

Un certain nombre de problèmes se posent en raison de l'incertitude qui prévaut quant à la façon dont les "marchés réglementés" doivent satisfaire à leurs obligations pour faire en sorte que toutes les valeurs mobilières remplissent les critères exigés pour une "cotation officielle" (comme prévu par la directive 79/279) [10]. De plus, des évolutions structurelles comme la démutualisation des bourses exigent de redéfinir la façon dont les objectifs d'admission à la cote et d'information du public doivent être atteints. Avant d'envisager des modifications aussi ambitieuses, il convient toutefois de trouver une base équitable pour le partage des frais liés au fonctionnement d'un système de cotation et à la satisfaction des exigences liées, comme la publication des informations susceptibles d'influer sur les prix. Si des arrangements appropriés ne sont pas trouvés, les bourses de valeurs à finalité commerciale pourraient chercher à abandonner leurs coûteuses fonctions de cotation, tout particulièrement si elles considèrent que des concurrents profitent indûment des services de cotation qu'elles assurent. Difficulties arise because of prevailing uncertainty as regards the way in which "regulated markets" should fulfil their obligations to ensure that all securities comply with the requirements for "official listing" (as specified in Directive 79/279 [10] In essence, the practice to date has been that the regulated market should provide listing functions in respect of all securities which are dealt in on that market. This practice for "regulated markets" officially to list securities prior to trading can add significantly to costs and limit the scope for competing markets and exchanges to admit the same security to trading. admission to listing and admission to trading must therefore be decoupled if more active competition between trading systems is to be facilitated. Furthermore, structural changes such as the demutualisation of exchanges call for a redefinition of how listing and public disclosure objectives are realised. However, before such far-reaching adjustments can be envisaged, an equitable basis must be found for sharing the regulatory overheads of listing and fulfilling related requirements such as dissemination of price-sensitive information. Without appropriate arrangements, profit-driven exchanges may seek to divest costly listing functions, particularly if they perceive competitors as "free-riding" on their listing services. This would jeopardise the important "public good" functions served by listing. Implementation of this approach should be foreshadowed in an updated definition of "regulated markets". It also calls for a re-examination of the provisions of Directive 79/279 [11].
