TRADUCTIONS EN CONTEXTE

L’article 3, paragraphe 1, du règlement (CE) no 1346/2000 du Conseil, du 29 mai 2000, relatif aux procédures d’insolvabilité, doit être interprété en ce sens que les juridictions de l’État membre sur le territoire duquel a été ouverte une procédure d’insolvabilité portant sur le patrimoine d’une société sont compétentes, sur le fondement de cette disposition, pour connaître d’une action, telle que celle en cause au principal, du curateur à la faillite de cette société dirigée contre le gérant de ladite société et tendant au remboursement de paiements effectués après la survenance de l’insolvabilité de la même société ou après la constatation du surendettement de celle-ci.
Article 3(1) of Council Regulation (EC) No 1346/2000 of 29 May 2000 on insolvency proceedings must be interpreted as meaning that the courts of the Member State in the territory of which insolvency proceedings regarding a company’s assets have been opened have jurisdiction, on the basis of that provision, to hear and determine an action, such as that at issue in the main proceedings, brought by the liquidator in the insolvency proceedings against the managing director of that company for reimbursement of payments made after the company became insolvent or after it had been established that the company’s liabilities exceeded its assets.

L’article 3, paragraphe 1, du règlement no 1346/2000 doit être interprété en ce sens que les juridictions de l’État membre sur le territoire duquel a été ouverte une procédure d’insolvabilité portant sur le patrimoine d’une société sont compétentes pour connaître d’une action, telle que celle en cause au principal, du curateur à la faillite de cette société dirigée contre le gérant de ladite société et tendant au remboursement de paiements effectués après la survenance de l’insolvabilité de la même société ou après la constatation du surendettement de celle-ci, lorsque ce gérant a son domicile non pas dans un autre État membre, mais, comme c’est le cas dans l’affaire au principal, dans un État partie à la convention concernant la compétence judiciaire, la reconnaissance et l’exécution des décisions en matière civile et commerciale, signée le 30 octobre 2007, dont la conclusion a été approuvée au nom de la Communauté par la décision 2009/430/CE du Conseil, du 27 novembre 2008.
Article 3(1) of Regulation No 1346/2000 must be interpreted as meaning that the courts of the Member State in the territory of which insolvency proceedings regarding a company’s assets have been opened have jurisdiction to hear and determine an action, such as that at issue in the main proceedings, brought by the liquidator in the insolvency proceedings against the managing director of that company for reimbursement of payments made after the company became insolvent or after it had been established that the company’s liabilities exceeded its assets, where the managing director is domiciled not in another Member State but, as is the situation in the main proceedings, in a contracting party to the Convention on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters, signed on 30 October 2007, which was approved on behalf of the Community by Council Decision 2009/430/EC of 27 November 2008.

Member States may not set aside such a right unless the creditor has adequate safeguards, or unless such safeguards are not necessary having regard to the assets of the company.

En revanche, dans d’autres situations, la nature et l’étendue du patrimoine de la société permettraient d’assurer aisément le suivi transfrontalier des éléments dudit patrimoine pour lesquels une plus-value a été constatée au moment où la société concernée a transféré son siège dans un autre État membre.
In other situations, on the other hand, the nature and extent of the company’s assets would make it easy to carry out a cross-border tracing of the individual assets for which a capital gain was ascertained at the time when the company transferred its place of management to another Member State.

Dès lors, la Cour répond qu’une réglementation d’un État membre, qui impose le recouvrement immédiat de l’imposition sur les plus-values latentes afférentes à des éléments de patrimoine d’une société transférant son siège de direction effective dans un autre État membre, au moment même dudit transfert, est disproportionnée.
Consequently, the Court's answer is that legislation of a Member State which prescribes the immediate recovery of tax on unrealised capital gains relating to assets of a company transferring its place of effective management to another Member State at the very time of that transfer is disproportionate.
