L'Irlande s'engage à ce qu'AIB indemnise le mandataire chargé du contrôle ainsi que ses collaborateurs et représentants (ci-après dénommés séparément la «partie indemnisée»), dédommage chaque partie indemnisée et la dégage de toute responsabilité à l'égard de tout passif d'AIB résultant de la mise en œuvre des missions du mandataire conformément aux obligations, à moins que cette responsabilité ne soit due à la non-exécution délibérée, à l'imprudence, à la négligence grave ou à la mauvaise foi du mandataire ou de ses collaborateurs, représentants ou conseillers.
Ireland commits that AIB will indemnify the Monitoring Trustee and its employees and agents (each an ‘ Indemnified Party ’) and hold each Indemnified Party harmless against, and hereby agrees that an Indemnified Party shall have no liability to AIB for any liabilities arising out of the performance of the Monitoring Trustee's duties under the commitments, except to the extent that such liabilities result from the wilful default, recklessness, gross negligence or bad faith of the Monitoring Trustee, its employees, agents or advisors.
