«agent lié», toute personne physique ou morale qui, sous la responsabilité entière et inconditionnelle d'une seule et unique entreprise d'investissement pour le compte de laquelle elle agit, fait la promotion auprès de clients ou de clients potentiels de services d'investissement et/ou de services auxiliaires, reçoit et transmet les instructions ou les ordres de clients concernant des instruments financiers ou des services d'investissement, place des instruments financiers ou fournit à des clients ou à des clients potentiels des conseils sur ces instruments ou services;
’tied agent’ means a natural or legal person who, under the full and unconditional responsibility of only one investment firm on whose behalf it acts, promotes investment and/or ancillary services to clients or prospective clients, receives and transmits instructions or orders from the client in respect of investment services or financial instruments, places financial instruments or provides advice to clients or prospective clients in respect of those financial instruments or services;

Member States shall allow investment firms when providing investment services that only consist of execution or the reception and transmission of client orders with or without ancillary services, with the exclusion of the ancillary service specified in Section B (1) of Annex 1, to provide those investment services to their clients without the need to obtain the information or make the determination provided for in paragraph 2 where all the following conditions are met:

"Tied agent" means a natural or legal person who, without being considered as an investment firm for the purposes of this Directive, promotes the investment and ancillary services of the investment firms for which it acts to clients or prospective clients, collects and transmits instructions or orders from the client in respect of investment services or financial instruments to those investment firms , and provides advice to clients or prospective clients in respect of the financial instruments or services offered by those investment firms under the full and unconditional responsibility of the investment firms on whose behalf it acts;
