(23)In order to preserve financial stability, it is important that competent authorities be able to remedy the deterioration of an institution's financial and economic situation before that institution reaches a point at which authorities have no other alternative than to resolve it. To this end, competent authorities should be granted early intervention powers, including the power to replace the management body of an institution with a special manager; this would serve as a means of exerting pressure on the institution in question to take measures to restore its financial soundness and/or to reorganise its business so as to ensure its viability at an early stage. The task of the special manager should be to take all measures necessary and promote solutions in order to redress the financial situation of the institution. The appointment of the special manager should not however derogate from any rights of the shareholders or owners or procedural obligations established under Union or national company law and should respect international obligations of the Union or Member States, relating to investment protection. The earlyintervention powers should include those already specified under Directive 2006/48/EC of the European Parliament and of the Council of 14 June 2006relating to the taking up and pursuit of the business of credit institutionsfor circumstances other than those considered as early intervention as well as other situations considered necessary to restore the financial soundness of an institution.

Clearly, so-called non-binding legal instruments cannot be a substitute for legal acts and instruments, which are available to ensure the continuity of the legislative process. The Commission must therefore give special consideration to the effect of soft law on consumers and their possible means of redress before proposing any measure involving soft law instruments.
Het is duidelijk dat zogenoemde “soft law” niet in de plaats kan komen van de wetshandelingen en -instrumenten die beschikbaar zijn om de continuïteit van het wetgevingsproces te verzekeren. Daarom verzoeken we de Commissie speciale aandacht te schenken aan de effecten van soft law voor consumenten en aan de voor hen openstaande rechtsmiddelen, alvorens een maatregel voor te stellen die een soft law-instrument inhoudt.
