(12) In view of the fact that the Treaty provides specific legal bases for matters of labour law and social security law and in order to make sure that this Directive does not affect these matters, it is necessary to exclude the field of labour law and social security law from the scope of this Directive.

Proposes that the forthcoming revision of Directive 93/22/EEC should provide for Member States to grant the right of access for investment firms from other Member States to central counterparty, clearing and settlement systems in their territory and that these systems should be subject to the harmonised transparent and objective criteria applicable to local participants; proposes that an information statement be drawn up identifying the fundamental differences between the Member States’ laws affecting clearing and settlement systems, in order to guide market participants; considers that in the long-term the creation of a securities code could be envisaged; takes the view, however, that this should be a long-term policy ambition, since this is not a feasible short-term goal due to the necessity of dealing with differences with regard to the legal framework for sensitive issues such as company law, property rights and insolvency law; proposes that a working party of securities-law experts should be set up rapidly to study in detail the questions raised by harmonisation of securities law within the EU and to propose solutions to the differences recorded;
11. stelt voor in de komende herziening van Richtlijn 93/22/EEG op te nemen dat de lidstaten investeringsondernemingen uit andere lidstaten het recht op toegang zouden moeten verlenen tot systemen voor tegenpartijen, clearing en afwikkeling op hun grondgebied en dat deze systemen zouden moeten worden onderworpen aan transparante en objectieve commerciële criteria die van toepassing zijn op plaatselijke deelnemers; stelt voor een informatiebrochure op te stellen waarin de fundamentele verschillen tussen de wetten van de lidstaten inzake clearing- en afwikkelingssystemen worden beschreven, en dat als richtsnoer voor de marktdeelnemers kan dienen; stelt voor op de lange termijn eventueel een "effectencode" op te stellen, alhoewel dit een langetermijndoelstelling zou moeten zijn - op de korte termijn is dit niet haalbaar gezien de verschillen in het wettelijk kader voor netelige onderwerpen zoals vennootschaps-, eigendoms- en insolventierecht; is dan ook van oordeel dat er onverwijld een groep van deskundigen op het gebied van het financieel recht moet worden samengesteld om de vraagstukken betreffende harmonisatie van het financieel recht in de Europese Unie te bestuderen en oplossingen voor voornoemde verschillen voor te stellen;
