As a top priority for 2002, the Commission initiated a consultation of the social partners on anticipating and managing change and establishing a dynamic approach to the social aspects of corporate restructuring.

Although this Proposal did not intend to promote the take over bid technique as the only or preferable technique for corporate restructuring, it is clear that the continued absence of common rules for take over bids makes corporate acquisitions more difficult. This is particularly so because of the possibility for an offered company in the case of a hostile take over bid to continue applying defensive measures aimed at frustrating the bid.
